Quick recap • THST AGM held on Weds 26th February 2014 • Resolutions passed: • Reappointment of the Greene Partnership as THST’s financial auditors • Election to the THST Board of Martin Cloake, Suraj Sharma, Paul Head, Adam Bailey • Re-election to the THST Board of Darren Howlett • Resolutions not passed due to quorum: • Rule change to 2011 Model Rules for a Supporters Community Mutual and 5 associated side policies

  3. Quick recap • For the Rule Change resolution to be adopted, 33% of members needed to vote, with 75% of those in favour. 10% of members voted and 100% of those were in favour • Cannot stress enough the importance of using your vote either in person or by proxy for future AGM’s

  4. Outstanding business • Owing to issues outside of our control in accessing the THST bank account, the audited accounts for the financial year from August 2012 to August 2013 were not ready in time for the main AGM • Draft accounts were presented on the night and circulated to members by email subsequently • Under Rule 49 of the current Trust Rules (2006), THST was required to adjourn the AGM until such time that the audited accounts were ready to present to members • Having provided more than the required notice period, we are now able to complete the AGM process this evening

  5. Audited accounts • Adam Bailey, THST Treasurer, will now talk through the audited accounts • Each full member will receive a copy by email tomorrow, also

  6. Conclusion • The THST Annual General Meeting process has now concluded for 2014 • THST thanks all those in attendance tonight and at the original meeting in February
