EXECUTIVE SUMMARY Partners Stan Davidson, Piedmont Ventures, LLC and David Beauregard, BMG Capital Group, LLC have teamed up to develop a series of “Independent Pharmacies and Wellness Centers” throughout the Midwest and Southeast United States. Benzer Pharmacy (formerly known as Rx Care Pharmacy) is an independent pharmacy chain in the United States with more than sixty-five stores, will be used as their model and possible supplier. Davidson and Beauregard will focus on smaller communities that are qualified for Opportunity Zone funding and new market tax credits. The benefits of an “independent pharmacy and wellness center” are based around “personal service” and one-stop shopping. These locations unlike the big box stores and major pharmacies, concentrate on providing service to their clients who need a prescription filled or an over-the-counter medical product. No groceries, clothing, electronics — simply prescriptions. The “independent pharmacy” will concentrate on pharmacy services, clinical services, health care provider services, refills, and medicine information. The “independent pharmacy” supports the community through newsletters, blogs, coupons to maintain the lowest costs in the market and a delivery system to elderly clients. We always look to the community for our pharmacists as well as recruiting young pharmacists coming out of school. Our team will utilize EB-5 foreign investors to both invest in the project and join us as a pharmacist. Pharmacy & Wellness | 1

  3. THE WELLNESS CENTER The Wellness Center will typically include a: retail pharmacy, long-term care pharmacy and compounding area for specialty medications. Offices for various health practitioners supporting the health of various patient disease states could include: cardiology, diabetes, rheumatology, pain management, dermatology, chiropractic care, naturopathic medicine, functional medicine, integrative medicine, mental health, massage therapy, acupuncture, diet and nutrition. Some locations provide advanced services such as Consultation, Acupuncture and basic testing for Osteoporosis Screening, Fasting Cholesterol and Glucose, BIA Testing, Nitric Oxide Test and HemoglobinA1C. Most locations will provide Counseling, Seminars on Quality Standards, Vitamin Standards, Body and Skin Care Standards, Grocery Standards. The addition of a dentist and eye doctor are subject to our market study. Pharmacy & Wellness | 2

THE NEIGHBORHOOD PHARMACY The Neighborhood Pharmacy will concentrate on pharmacy services, clinical services, healthcare services, patient monitoring, medication management and testing for health related issues and disease states. The Neighborhood Pharmacy will also support the community through educational programs to improve the health of each patient. Education will be through in person on-site seminars, on-site telehealth rooms and terminals connecting to health professionals, live and recorded broadcasts on health topics, newsletters, blogs and remote educational events promoting health in the local area.   5. DEVELOPMENT TEAM STANLEY K. DAVIDSON has been a real estate broker and developer for over 30 years representing national tenants and owners throughout the Carolina, Alabama and Florida. Stan has developed and repositioned several office properties and is experienced in planning and management of such projects. In addition to his real estate and development background, Davidson has raised capital for numerous projects including his current multi-use development in Fairhope, Alabama. The Alabama development “Ecor Rouge” being development by Davidson has two new buildings, one a local bank branch and the other a “neighborhood pharmacy.” In addition, Davidson is looking at the second planned “neighborhood pharmacy” in Eatonton, GA. DAVID BEAUREGARD is a developer and provides project funding through his company BMG Capital Group, LLC and also owns 3rd Party Compliance Group, LLC. David has four decades of experience in the Real Estate Development business and specializes in hotel, medical, retail and entertainment projects throughout the Midwest and Southeast United States. He’s played a central role in the development of 35 movie theater and family entertainment facilities, including four major land development initiatives. HOW OPPORTUNITY FUNDS WORK Opportunity Zones are low income census tracts nominated by governors and certified by the U.S. Department of the Treasury into which investors can now put capital to work financing new projects and enterprises in exchange for certain federal capital gains tax advantages. The country now has over 8,700 Opportunity Zones in every state and territory. The Tax Cuts and Jobs Act passed by Congress in late 2017 created a new tax incentive program called the Opportunity Zone program, which has the power to transform real estate investments. Through this program, those who invest realized capital gains into qualified Opportunity Funds may defer and significantly reduce their capital gains tax liability, and potentially pay zero taxes on earnings from their Opportunity Fund investments altogether. Through these tax incentives alone, Opportunity Funds have the power to potentially double after-tax returns for investors. The Benefits of Opportunity Fund Investing: Investing in real estate through qualified Opportunity Funds offers several tax advantages – immediately and over the course of the next decade. Investors can reap tax deferral benefits immediately at the beginning of their investment. But, the greatest capital gains tax advantages are only available to investors who hold their Opportunity Fund investment for at least 10 years. Those who invest for at least 10 years can defer and reduce their initial capital gains liability, and also expect to receive permanent exclusion from taxable income of capital gains on profits from the sale of their Opportunity Fund investment. DEMOGRAPHICS • We look at 3-5-10 mile demographics to determine the synergy of the market. • We also look at the competition prescription dispensaries and wellness locations in a 3-5-10 mile area as well as the number of and location of the retail base in the market. • The base of medical institutions, elderly care and hospitals within the market are important factors in the success of our new location.   11. LOCATION Each location is reviewed by the Pharmacy and Wellness Development Group Team. We look seriously at both the real estate and the business competition. The initial Pharmacy and Wellness Development Group location is in Fairhope, Alabama to be followed by Eatonton, Georgia and Anderson, SC. The Pharmacy and Wellness Development Team provides development and project funding to 3rd party clients and we approach each assignment as though we were developing for our own portfolio.
