Proposed Bylaws Amendments • Foundation Name: Replace “&” with “and” • Purpose: Add modifier “in the Venice area” • Director Removal: Add explicit “with or without” cause • Action w/out a meeting: Include email communication • Action w/out a meeting: Require “majority plus one” approval • Board Powers: Exec Committee recommends grant amounts • Board Powers: Grants from annual net income not to exceed 75% • Board Powers: Permit endowment & other investment fund types • Board Powers: Remove making contracts, borrowing, lending The Community Foundation At The Venice Golf & Country Club
