Our Charge The Board Development Committee has responsibility for developing a single slate of nominees for the Officers and Members-at-Large of the Board of Directors, Girl Advisors to the Board of Directors, Board Development Committee Chair and Board Development Committee Members-at Large, as well as National Delegates and Alternate Delegates.

What We Do The Board Development Committee works with the Council Board and Council CEO to identify the characteristics, skills, and experiences needed for open positions and to identify candidates who will be able to exercise the governance and leadership responsibilities of the board, including setting the strategic direction for the council, providing oversight of the financial health and well-being of the organization, and ensuring that the management of the organization is effective.

  20. Delegate Duties and Responsibilities 1. Elect Members of the Board of Directors, Officers of the Board of Directors, Board Development Committee Chair, Board Development Committee Members-at Large and the Delegates to the National Council of GSUSA. 2. Approve Amendments to the Bylaws and to the Articles of Incorporation. 3. Take all other actions requiring a vote of the Council and conduct other business which may come before the Council. 4. Determine the general direction of Girl Scouting within the jurisdiction of the Council by responding to reports and information from the Board of Directors.

  21. Board Duties & Responsibilities The Board of Directors will: Exercise responsibility and authority for planning, policy-making, and ensuring that the Council is achieving its goals and mission. Oversee the affairs of the Council according to the general direction set by the Delegate Council. Establish systems that support communications between Members and the Board of Directors. Ensure compliance with all state, federal, and other laws and regulations applicable to non-profit organizations in Pennsylvania. Establish such standing committees, special committees, or task force groups, as it deems necessary. Ensure that the Council meets the Charter requirements of GSUSA. Recommend amendments of these Bylaws and the Articles of Incorporation to the Delegate Council for its action.
