DescriptionofMaterialsandQuality: 2.1 TheScrapshallbedisposedoffin"AS-IS-WHERE-IS"and"WET,DRYORRUSTY" conditions. 2.2 Numbers,quantitiesortonnageornatureofmaterialsgiveninthecatalogueareapproximateand thematerialswillbesoldwithoutanyregardorconsiderationofthesenumbers/tonnageornatureofmaterialsandnowarrantyorguaranteeshallbeimplied.Thequantityofmaterialmayvaryconsiderably,thatis,itmaybemuchmorethantheapproximatequantityindicatedinthecatalogueormuchless.TheBiddermustlifttheentirequantitywithintimeperiodmentionedintableonpageon3of15ofthistenderdocument. 2.3 Descriptiongiveninourenclosedlistisinbrief.Offersbythebidderswillbedeemedtohave beenmadeontheclearunderstandingthatintendingbidder/biddershavesatisfiedthemselvesfullyinregardstothenature,condition,qualityofgoodsuponinspectionorotherwise.Noerror,omissionormis-statementormis-descriptionwhatsoeverandhowsoevermadeorpublishedwhetherinadvertisementorlistorotherwiseandnodefectsorfaultsinthegoodsshallinvalidatethecontractorbesubjectmatterofanyclaimonthepartofthebidderwhetherincompensationorotherwisehowsoevernorwillanysuchclaimbeentertainedbyRPL 2.4 Thequantityindicatedinourlistofscrapitemsisonlyanestimateforcalculatingtheamountof depositsrequiredtobepaidbythebidder,andhasnothingtodowithquantityofscrapthatmaybeavailable.However,sincetheparamountinterestofRPListogettheareaclearedoftheallaccumulatedscrap,theBidderwillhavetoremovetheentirequantitywhetherthesearefarbeyondthelimitofapproximationindicatedormuchlessthantheapproximationindicated. 2.5 RPLreservestherighttoacceptorrejecthighestofferoranyotherofferwithoutassigningany reasonforsuchrefusal.   10. RATTANINDIAPOWERLIMITED 2.6 Weighmentoftareweight&grossweightofscrapvehicleshallbeperformedatRPL weighbridgeandthesameshallbefinal&bindingonthebuyer. 3. RemovalofScrap: 3.1 ItwillbeSuccessfulBidder’sresponsibilitytoweighttheemptytruckatRPLweighbridgeand producethenecessaryweightcertificatesothattheweightoftheemptytruckwillbedeductedfromtheweightofthefullyloadedtruck. 3.2 Forlotssoldonweighmentbasis,theBidderwillhavetoweightheemptytruckandloaded truckatRPLWeigh-Bridges.Thescrapwillbeweighedontheweigh-Bridge/weighingscaleinthepresenceoftheBidderorhisauthorized-representativeandtheweightsrecordedwillbeacceptabletoboththeparties.NodeviationonRPLweighbridge/NocomplaintregardingshortageinweightsandquantitywillbeconsideredoncethematerialisremovedbyhimfromRPLPremises. 3.3 AlltheconsignmentsmustbeweighedeveniftheyaresoldonlotbasisforRPLrecord. 3.4 InordertofacilitateRPLtocompletethetransactionbefore5.00p.m.thegoodsshouldbe collectedbefore3.00p.m.onanyworkingdaywithpriorappointmentwiththeconcerneddepartmentwithinthestipulateddeliverydays. 3.5 ShouldtheSuccessfulBidderwishtotakedeliveryofthescrapmaterialthrougharepresentative, hemustauthorizethelatterbyaletterofauthorityorcontinuingauthority,whichshallbepresentedtotheofficerconcerned.MaybetheofficerconcernedinhisentirediscretiondeclinetoactonanysuchauthorityanditoughttobefortheSuccessfulBiddertosatisfytheofficerconcernedthattheauthorityisgenuine.DeliverytosuchpersonshallbesoleresponsibilityoftheBidder&noclaimshalllieagainstRPLonanyaccountwhatsoever,ifdeliveryisofferedtoawrongperson. 3.6 RPLreservestherighttounloadthevehiclesforinspectionpurpose.Ifitissuspectedatanytime thattheSuccessfulBidderhasloadedthematerial/materialsforwhichheisnottheSuccessfulBidderoriftheSuccessfulBidderisfoundtocarryexcessscrapthanthatmentionedinthedocuments,RPLwillbewithinitsrighttodetainthetruck,unloadthegoodsatthecost&expensesoftheBidder&terminatethecontractforthwithandforfeitthesalevalue&claimsuchfurtherlossesanddamagesthatmaybecausedtoRPL. 3.7 ItshallbetheresponsibilityoftheSuccessfulBiddertoseethatheorhisservantsoragents collectandloadonlythatqualityandkindofScrapthatiscoveredbythecontractandintheeventofhisservantsoragentsfindinganyotherqualityoforkindorScrapmixedwiththeScrapallottedtohimheshouldforthwithbringittothenoticeoftheyardmasterandliftscraponlyaftersegregation. 3.8 Lotssoldonaccumulated/arrangedbasisatthetendermustberemovedbytheBidderonor beforescheduledperiodasmentionedabove. 3.9 ForLotssoldon‘ArisingBasis’theSuccessfulBiddershallchecktheaccumulationonceaweek orfortnightandassoonasonetruckloadofmaterialisavailable,he/theyshallliftthematerial Page10of15

Penaltyfordelayincollectionofscrapfromourpremises&depositionofbalancePayment 4.1 IncasetheSuccessfulBidderfailstomakethebalancepaymentwithinthescheduledtime,RPL mayatitsdiscretionextendtheperiodbylevyinginterest@1%ofthesalevaluepermonthforsuchdelayedperiodtillthetimeentireEMDisexhausted.Ifthefailurecontinues,theEMDshallbeforfeitedandthecontractmaybeterminatedatthediscretionofRPL. 4.2 IncasetheSuccessfulBidderfailstoremoveandtakecompletedeliveryofthegoodssoldorpart thereofwithinthescheduledtime,RPLmayatitsdiscretionextendtheperiodbylevyingdown Godownrent@0.5%ofthebalancesalevalueperweekforsuchdelayedperiod.. 4.3 Notwithstandingthefacilitiesgivenabove,RPLmayrefusetoextendtheperiodandcancelthe saleatitssolediscretionandforfeittheEMDdepositedbytheBidder/s.RPLmayalsolevydownbothpenaltysimultaneously. 5. DecisionIncaseofdisputes: 5.1 Incaseofanydisputeregardingthecontract,thedecisionoftheRPLshallbefinalandbinding. Ifthereisanydisputeastothelastorhighestbid,theRPLshalldeterminethedisputeanditsdecisionshallbefinalandbindingtoall. 5.2 Incaseofanydisputearisingoutoforrelatingtothetermsofthiscontractthemattershallbe referredtosolearbitratorappointedbyRPL.ThearbitratorsoappointedshallactinaccordancewiththeprovisionofArbitration&ConciliationAct,1996andthevenueofarbitrationshallbeDelhi. 5.3 OnlytheappropriateCourtinNewDelhi,&shallhavethejurisdictiontodealwithanydisputes arisingoutofthiscontract. 6. RightofAcceptance/Rejectionofoffer: 6.1 RPLreservestherighttowithdrawwhollyorpartiallyanyoralltheitemssetforsaleatanytime duringtheperiodofcontractwithoutassigninganyreasons. 6.2 RPLalsoreservestherighttoacceptanyofferonthebasisof"Subjecttoapproval"byRPLIn casethebidisacceptedon"Subjecttoapproval"basis,RPLfinaldecisionwillbeinformedtotheBidderwithinsevencalendardays. 6.3 ThegoodsaresoldsubjecttothereservepricefixedbyRPL.RPLisnotboundtoacceptthe highestoffer.RPLreservestherighttorejectanyconditionaloffers. 7. ForfeitureofEMD/SecurityDeposit 7.1 IncaseoffailureoftheBiddertocomplywiththeconditionsasmentionedabove,RPLmayat itsdiscretion,terminatethecontractandtheEMD/SecurityDepositpaidbytheBidderwill Page11of15

RATTANINDIAPOWERLIMITED standforfeitedforthebreachofcontractbytheBidder.Thelotinquestionwillbere-soldby RPL,withoutanyreferencetotheBidder,toanyotherbuyerattheriskofthedefaultingBidder.ThedeficitifanywillberecoveredfromthedefaultingBidder. 7.2 ThelotspaidformustbecompletelyremovedattheBidder'sexpensewithinthescheduleperiod specified.Ifanylotisnotremovedwithinthisspecifiedperiod,RPLmayre-sell/re-auctionthesaidlotorportionthereofattheBidder'sriskandexpense.Inthisevent,theBidderwillbeliabletocompensateRPLforallthedamagesandlossesthatRPLmaysufferonaccountofre-selling/re-auctioningthelotandinadditionRPLwillalsobeentitledtorecoverfromtheBidderthecostofstoragewarehousingetcspecifiedabove.ThiswillbeinadditiontoEMD/SecurityDepositthatwillstandforfeitedintheeventoftheBiddernotremovingthelotswithinthespecifiedtime. 8. TerminationofContract: RPLreservestherighttoterminatethecontractatanytimebygivingthree(3)daysnoticeonthe followinggrounds. 8.1 UnsatisfactoryexecutionorperformanceofthecontractbytheBidder. 8.2 ForimproperbehavioroftheBidderorbreachofthetermsandconditionsofthecontract. 8.3 DecisionofRPLtoterminatethecontractshallbefinalandbindingandnoclaimfor damagesandcompensationshallarise.ProvidedfurtherthatintheeventoftheBidderorhisagentorservantcommittingorattemptingtocommittheft,fraud,dishonestyorgrossmisbehaviorinconnectionwiththesubjectmatterofthiscontractorinanyother-connectionwhatsoeverconcerningthebusinessofRPL,RPLshallbeentitledtoterminatethecontract-forthwithandforfeittheSecurityDepositatitssolediscretion. 9. PassingofPropertyInthegoods: Itisexpresslymadeclearthatthepropertyinthegoodswhethersoldbyunits,weightsorlots, whetherarrangedorotherwise,willremainthatofRPLandwillpassontotheBidderonlywhenmaterialistakenoutbytheBidderfromthefactoryPremisesaftergettingvaliddispatchdocuments. General 9.1 ExciseDuty,SalesTax,AdditionalTaxandoranyothertaxesasapplicableundertherelevant SalesTaxActwillbechargedextraattherateprevailingatthetimeofdeliveryandtherateofferedshallbeexclusiveofalltaxes. 9.2 Alltrucks,handcarts,carryingsuchmaterialsoutsideourpremisesaresubjecttoinspectionby ourSecurityDepartmentatthegate.Ifrequired,thebuyerwillhavetounloadthevehicleif SecurityOfficerdemandsforasurprisecheck. AnypersonemployedorengagedbytheBidderforthepurposeoftheexecutionofthecontractshallberequiredtoobservetherulesandregulationsthatareprevailinginRPL.Themovementofhispersonsshallberestrictedonlytotheplaceofworkassignedtothem.EachpersonengagedbythebuyershallberequiredtoobtainaPassfromourSecurityDepartmentfor 9.3 Page12of15

RATTANINDIAPOWERLIMITED enteringandleavingIRLpremises.RPLSecurityDeptshallsubjectallthelabourengagedbythe buyertoinspection. 9.4 Allnotices,letterssenttotheBiddershallbedeemedtohavebeenreceivedbyhim/themon expiryof48hoursfromthetimeofpostingifthesamearesentattheaddressgivenbythe Bidder. 9.5 Resalewillnotberecognizedandreleaseorderwillbemadeoutinthenameofactualsuccessful Biddersonly. 9.6 TheSuccessfulBiddershallnotbeentitledtoresellanylotorpartofalotwhilethegoodsare stilllyingwithinthepremisesofRPLandnodeliverywouldbeaffectedbyRPLtoanypersonotherthantheBidderwhosenamesarementionedinthedeliveryorder. 9.7 AllSuccessfulBiddersofthelotsbeforecollectingpurchasedmaterialsfrominsidetheworks shouldcontacttheRPL’sauthorizedofficertogetthemfullyacquaintedwithsafetyrulesandregulations.Bidderswillbeallowedtostartcollectingmaterialsonlywhentheyhaveconfirmedinwritingthattheyareagreeabletofollowthevarioussafetyrulesandplantregulations. 9.8 RPLwillinnowayberesponsibleforanyaccident,damageorinjurytothecontractor's workmenorequipmentwhileonfactorypremises. 9.9 IfthesuccessfulBidderatanystageeitherneglectsorrefusesorisunabletotakedeliveryofthe materialsforanyreasonswhatsoeverortheperformanceoftheBidderisunsatisfactory,RPLwillhavetherighttoterminatethecontract,enforceforfeitureofBidder'sEMD/securitydepositandclaimsuchfurtherlossesanddamagesthatmaybecausedtoRPLtodetermineanddeclareatitssolediscretion. 9.10 IntheeventoftheBidderfailingtoremovethematerialsandtopaypricethereof,RPLshallbe freetosellthegoodstoanypersonorpersonsandtorecoverfromtheoriginalBiddertheamountbywhichmaterialsactuallysold,fallsshortofthepriceagreedbytheoriginalBidder.ThisdoesnotinanywayeffecttherightofRPLtoforfeitEMDasprovidedherein. 9.11 SpecialConditionsofsaleoradditionalconditionsofsale,ifany,willbeannouncedatthe timeofinspection. 10. Arbitration: 10.1 IfanydisputeordifferenceofanykindwhatsoevershallarisebetweentheOwnerandthe Contractor,arisingoutoftheContractfortheperformanceoftheWorkswhetherduringtheprogressoftheWorksorafteritscompletionorwhetherbeforeorafterthetermination,abandonmentorbreachoftheContract,itshall,inthefirstplace,bereferredtoandsettledbytheOwner,who,withinaperiodof30(thirty)daysafterbeingrequestedtodoso,shallgivewrittennoticeofhisdecisiontotheContractor. 10.2 Saveashereinafterprovided,suchdecisioninrespectofeverymattersoreferredshallbefinal andbindinguponthepartiesuntilthecompletionoftheentireworkundertheContractandshallforthwithbegiveneffecttobytheContractorwhoshallcomplywithallsuchdecisions,withallduediligence,whetherherequiresconciliationand/orarbitrationashereinafterprovidedornot. RATTANINDIAPOWERLIMITED 10.3 IfaftertheOwnerhasgivenwrittennoticeofhisdecisiontotheContractorandnoclaimto conciliationand/orarbitrationhasbeencommunicatedtohimbytheContractorwithin30(thirty)daysfromthereceiptofsuchnotice,thesaiddecisionshallbecomefinalandbindingontheContractor. 10.4 IntheeventoftheOwnerfailingtonotifyhisdecision,asaforesaid,within30(thirty)daysafter beingrequested,orintheeventoftheContractorbeingdissatisfiedwithanysuchdecision,orwithin30(thirty)daysaftertheexpiryofthefirstmentionedperiodof30(thirty)days,asthecasemaybe,eitherpartymayrequirethatthemattersindisputebereferredtoarbitrationashereinafterprovided. 10.5 SubjecttoasspecifiedinthisClause12.0,alldisputesordifferencesinrespectofwhichthe decision,ifany,oftheOwnerhasnotbecomefinalorbindingasaforesaid,shallbesettledbyarbitration,underandinaccordancewiththeprovisionsofTheArbitrationandConciliationAct, 1996oranystatutorymodification,inthemannerhereinafterprovided.ThevenueofarbitrationshallbeNewDelhi,India. 10.6 ThearbitrationshallbeconductedbyasolearbitratorappointedbytheOwner. 10.7 Thedecisionofthesolearbitratorshallbefinalandbindingupontheparties.Theexpenseofthe arbitrationshallbepaidasmaybedeterminedbythearbitrator.Thearbitratormay,fromtimetotime,withtheconsentofboththepartiesincreasethetimeformakingtheaward. 10.8 Duringsettlementofdisputesandarbitrationproceedings,bothpartiesshallbeobligedtocarry outtheirrespectiveobligationsundertheContract. 10.9 Partiesagreethatthepartyinvokingarbitrationshallspecifyalldisputestobereferredto arbitrationatthetimeofinvocationofarbitrationandnotthereafter. 11. FraudulentandCorruptPractices: 11.1 TheVendorandtheirrespectiveofficers,employees,agentsandadvisorsshallobservethe higheststandardofethicsduringthesubsistenceoftheAgreement/PurchaseOrder/ServiceOrderasthecasemaybe(hereinafterreferredtoas”Agreement”).NotwithstandinganythingtothecontrarycontainedintheAgreement,theOwner/EmployermayterminatetheAgreementwithoutbeingliableinanymannerwhatsoevertotheVendor,ifitdeterminesthattheVendorhasdirectlyorindirectlyorthroughanagentengagedorindulgedinanycorruptpractice,fraudulentpractice,coercivepractice,undesirablepracticeorrestrictivepracticeduringtheprocurementprocess,oraftertheissueofletterofintentoraftertheexecutionoftheAgreement,theOwner/EmployermayterminatetheAgreementwithoutbeingliableinanymannerwhatsoevertotheVendor.Further,insuchanevent,theOwner/EmployershallforfeittheContractPerformanceGuarantee/EarnestMoneyDepositasthecasemaybe. 11.2 Further,theVendorshallnotbeeligibletoparticipateinanytenderorRFPissuedbythe Owner/EmployerfromthedatesuchVendorisfoundbytheOwner/Employertohavedirectlyorindirectlyorthroughanagent,engagedorindulgedinanycorruptpractice,fraudulentpractice,coercivepractice,undesirablepracticeorrestrictivepractices,asthecasemaybe. RATTANINDIAPOWERLIMITED 11.3ForthepurposesofthisArticle13.0,thefollowingtermsshallhavethemeaninghereinafter respectivelyassignedtothem: 11.3.1”Corruptpractice”means(i)theoffering,giving,receiving,orsoliciting,directlyorindirectly,of anythingofvaluetoinfluencetheactionsofanypersonconnectedwiththeprocurementprocess(foravoidanceofdoubt,offeringofemploymenttooremployingorengaginginanymannerwhatsoever,directlyorindirectly,anyofficialoftheOwner/Employerwhoisorhasbeenassociatedordealtinanymanner,directlyorindirectlywiththeprocurementprocessortheletterofintentorhasdealtwiththemattersconcerningtheAgreementorarisingtherefrom,beforeoraftertheexecutionthereof,atanytimepriortotheexpiryofoneyearfromthedatesuchofficialresignsorretiresfromorotherwiseceasestobeintheserviceoftheOwner/Employer,shallbedeemedtoconstituteinfluencingtheactionsofapersonconnectedwiththeprocurement process);or(ii)engaginginanymannerwhatsoever,whetherduringtheprocurementprocessoraftertheissueoftheAgreementoraftertheexecutionoftheAgreement,asthecasemaybe,anypersoninrespectofanymatterrelatingtotheprojectsortheletterofintentortheAgreement,whoatanytimehasbeenorisalegal,financialortechnicaladvisoroftheOwner/EmployerinrelationtoanymatterconcerningtheProject; 11.3.2”Fraudulentpractice”meansamisrepresentationoromissionoffactsorsuppressionoffactsor disclosureofincompletefacts,inordertoinfluencetheprocurementprocess; 11.3.3”Coercivepractice”meansimpairingorharming,orthreateningtoimpairorharm,directlyor indirectly,anypersonorpropertytoinfluenceanyperson’sparticipationoractionintheprocurementprocess; 11.3.4”Undesirablepractice”means(i)establishingcontactwithanypersonconnectedwithor employedorengagedbytheOwner/Employerwiththeobjectiveofcanvassing,lobbyingorinanymannerinfluencingorattemptingtoinfluencetheprocurementprocess;or(ii)havingaconflictofinterest;and 11.3.5”Restrictivepractice”meansformingacartelorarrivingatanyunderstandingorarrangement amongbidderswiththeobjectiveofrestrictingormanipulatingafullandfaircompetitionintheprocurementprocess. 11.4Incasethevendorcomesacrossanyunworthydemandorpressurefromtheanyemployeeor retiredemployeefromRattanIndiathenamailcanbedroppedtovigilance@rattanindia.com ForRattanIndiaPowerLimitedAuthorized Signature Page15of15
