Black Lite profile • Black lite (Pty) Ltd is a management consulting company that advises on integrated strategies which aim to address Broad-Based Black Economic Empowerment (BBBEE) and sustainable development in a value-adding manner.  In addition to this, we pride ourselves in being principal investors in green energy. Black lite consulting is a 100% Black owned, managed and controlled company as per the DTI’s Codes of Good Practice.  Our clients include ABSA Capital, Xstrata South Africa, Anglo American South Africa, Tsogo Sun, Sasol Limited Group, National Empowerment Fund, Kagiso Group Limited, and Department of Trade and Industry, amongst others. • Black lite consulting was established from day one on the basis of sustainable empowerment as we believe strongly leaving a world for our children and their children that is habitable and that sustainability and empowerment are two sides of the same coin.  We view ourselves as being the primary drivers of this policy, not only theoretically in the form of the advisory work that we do for our clients, but most importantly we have taken a practical approach in this regard in our own business. •  In our bid to reduce our carbon footprint we have taken a practical approach to sustainable empowerment in the following ways (amongst others): • We have an environmental clause in all our mandates that require meetings (where possible) not to be held during peak hour • traffic and allow staff to work flexible hours • Our office is situated in a “green” building with evaporators not individual air conditioners; • We have undertaken to plant a tree for every piece of furniture that we buy for our offices; • We do not receive our news papers delivered to the office instead we read all our newspaper publications online; • When travelling to client sites, we travel in one vehicle; • We do not print any reports or post any invoices to clients instead we e-mail them • We, at black lite, believe that a fundamental principle of an empowered business is one that not only views success through the prism of profit but also appreciates the need to focus on environmental sustainability while addressing BBBEE, transformation, climate change and renewable energy in an integrated manner.

  4. Our people: Ajay Lalu • Ajay Lalu is a Partner and 100% shareholder in Black Lite Consulting and was a founder of Bravura Consulting. After four years of successfully running Bravura Consulting he decided to branch out on his own. In 2006 he left his post as Acting CEO of Utajiri Investments which negotiated and participated in the Deutsche Bank BEE transaction valued at an estimated R1 billion without external advisors. • Ajay’s current clients include Anglo American, Kagiso, Xstrata SA ,Sasol Limited, Total Coal, National Empowerment Fund, and Tsogo Sun. His strategic advisory role to Xstrata provides the group with a view on issues relating to the alignment of the Mining Charter to the Codes. He also is advising the National Empowerment Fund on Governments’ Vision 2020 for BBBEE across 11 major sectors of the economy. • Ajay is passionate about sustainable development and has built black lite on the principles of sustainable empowerment. He is a certified GRI (global Reporting Initiative)reporter and has shared his vision of sustainable development with companies like Kagiso. • Prior to negotiating the Deutsche Bank deal, Ajay was the Director for BEE services at Ernst & Young where he was responsible for growing the new business unit focused on BEE. Ajay spent 5 years at Ernst & Young in the Corporate Finance arena and was promoted to Director in July 2003. In this role, he: • Provided strategic advice on mergers and acquisitions worth more than R100m • Provided transaction support services like due diligences, valuations and M&A advice • Developed complete Empowerment solutions for various clients • Ajay is a regular commentator on BEE issues in the media and advisor to the DTI. He was elected the treasurer of the Black Business Council which regularly met with government on issues relating to BEE and was invited to speak at the 2004 World Economic Forum on BEE. He was also the Western Cape chairperson and General Secretary of ABASA (Association for the Advancement of Black Accountants of South Africa). Ajay is serving on the dti in house committee on the impact of the global credit crisis on BEE and was a member of the dti committee that has been tasked to draft verification procedures for Verification agencies and to train them on it. • Ajay has his BCom and BCompt (Hons) degrees and graduated Top of his Honors Class at the UWC. Ajay passed his CA(SA) Board exams on the first attempt while serving his articles at PriceWaterhouseCoopers in Cape Town and has over 15 years professional and entrepreneurial experience. Ajay is a member of Green Peace International.

  5. Our people: Lemao Ditodi Lemao Ditodi joined black lite in January 2011 as a consultant. His key client involvements at black lite include the following: • Kagiso Media Ltd – supporting and advising the client on the BEE verification for Kagiso Media Ltd and Kagiso Broadcasting; • Xstrata Alloys mines – supporting and advising the client on the BEE verification of their mines and operations (including Western Mines, Wonderkop, Carbon and PSV Lions); • ABSA Capital – playing a key role in formulating and presenting the long strategies for Human Resource Development and Enterprise Development; • Kagiso Tiso Holdings (Pty) Ltd – assessing the ownership structures of the two companies. • His other responsibilities at black lite consulting included preparing black lite consulting for their financial statement audit and BEE verification, drafting and compiling response letters to dti publications (eg the proposed financial sector charter ). Prior to joining black lite, he served his articles at KPMG from January 2006 until December 2008. During his articles, he was involved in planning, executing and finalising audits, project management, liaising with clients, audit managers and partners. He was appointed a tax consultant in Tax Management Services at KPMG. In Tax Management Services, he was involved in accrual reviews, payroll reviews, due diligence reviews, as well as providing technical tax written opinions. • Lemao had a broad range of audit and tax clients, which include – Eskom, State Information Technology Agency Ltd, Sasfin Bank and Securities , Sentech Ltd, Accenture SA (Pty) Ltd, - Sasol,Rockwell Diamonds, Auto and General Insurance. • He presented a course designed for CA trainees (i.e. CA Tax training), as well as technical training sessions to the staff at Tax Management Services. • He also served as the general secretary of the Association for the Advancement of Black Accountants of South Africa (ABASA) Tshwane Branch. He gave extra accounting lessons and career guidance to students at Phelindaba High School in Attridgeville. He also provided motivational talks and career guidance to High school students in Mamelodi, as well as students at the University of Limpopo. • Lemao serves on the finance committee at St Monica’s church in Midrand. His involvement her includes managing, counting and recording collections from the church services, monitoring and evaluating internal controls and financial performance, as well as well capturing financial information on Pastel (the church’s accounting system) • Lemao earned is BCom (Accounting) from RAU in 2004 , and his B.Compt Honours (CTA) qualification from UNISA in 2006. He registered as a CA(SA) with SAICA in April 2010.

  6. Our people: Songo Didiza Songo Didiza is a Consultant with Black Lite Consulting having joined in June 2010. Songo’s previous work includes 2 years with The IQ Business Group. Over the last 2 years she has gained invaluable experience working on various projects within the financial services sector. • Songo’s BEE advisory experience includes co-authoring the Vision 2020 report on the 11 major sectors of the economy for the National Empowerment Fund (NEF). She was responsible for researching and interviewing various industry leaders on the key challenges facing their sectors from a transformation perspective. The report will form the basis for a review of the BBBEE Codes and will be presented to the Presidents Advisory Council on BBBEE. Songo’s consulting experience includes managing the B-BBEE Verification process for the following clients: • Xstrata Alloys – Supporting the client through the B-BBEE verification process for various mining operations. Development of an Enterprise Development strategy to maximise points against the BEE scorecard. • Absa Capital – Support on the client’s B-BBEE verification process and the development of strategies for Enterprise Development, Preferential Procurement as well as Human Resource Development. • Sasol South Africa – Developing an Enterprise Development Strategy for the group and recommendations of new investment focus areas. During her time at The IQ Business Group Songo consulted primarily in Financial Services with exposure to the following client projects: • ABSA Retail AIRB Model Implementation project • Nedbank Group Technology (GT) Fixed Asset Verification project • Standard Bank Africa Card Reconciliations project ( Namibian Merchants Reconciliation) • Her multiple-role based exposure has created and developed her style of systematic and logical thinking. She has come to rely on the latter to become a proactive self starter. Additionally, her strong analytical skills allow her to pay attention to detail. • Songo has very strong interpersonal skills and communicates clearly and confidently with people from all walks of life. She is passionate about making a difference to the lives of ordinary South Africans and this motivated her to join black lite consulting. Songo has a B. Economic Science degree (Maths , Applied Maths & Economics) from Wits University. She is also a former recipient of the prestigious Carnegie Scholarship for Women (Carnegie Corporation of New York). Songo is an avid musician who enjoys experimenting with various musical instruments, especially the guitar and drums. She is also a proud member of Greenpeace International.

  7. Our people: Rajesh Jivan Rajesh is a Junior Consultant with Black Lite Consulting having joined in February 2011. He is a young, dynamic, self motivated, proactive, and professional individual who is able to function well in high pressure environments with tight deadlines and rapidly changing priorities. Rajesh’s previous work experience includes Strategic Management Simulation Consultant and Tutor at the University of Johannesburg and being a Junior Manager at Progress Dry Cleaners & Supermarket(1997-2010). His responsibilities as a Consultant at the University of Johannesburg included knowledge transfer of topics related to competitive business process, risk management strategy implementation, sustainability of business growth models and strategies for sustainability of business. Rajesh’s skills include Marketing and Strategic Management which complements his ability to face challenges head-on and places him in a unique position to assist and advice our clients. Rajesh has a B.Com (Marketing Management) Degree from the University of Johannesburg in 2007 and has also achieved a B.Com Honours-Cum Laude (Strategic Management) Degree from the University of Johannesburg in 2008. He has achieved the following awards: • Industry Champion in the Business Strategy Game (BSG-www.bsgonline.com) – A Senior Executive at the first place company in a globally competitive industry simulation conducted at the University of Johannesburg (2008). • Grand Champion in the Best-Strategy Invitational Business Strategy Game (BSG-www.bsgonline.com) against universities across the world – A Senior executive at the first place company in a globally competitive simulation in the by-invitational-only contest conducted in December 2008 around the world (288 Universities). • Certificate of Excellence – Student exhibiting the best academic growth, University of Johannesburg 2008.   8. Our people: Kilpena Lalu Kilpena Lau is the Sales and Service Manager at black lite consulting since the 1st February 2011. She has 16 years experience in the Financial Services Industry. 14 of these years were in Banking focusing on Retail Banking for the first 8 years and then specialising in Private Banking for the next 6 years. She was then appointed as the Head of Product Marketing and Investor Relations in Fund Management for Old Mutual Investment Group Property Investments for 2 years. She is responsible for all the back office and administration functions of black lite consulting. Kilpena started her career at First National Bank in 1996 as a graduate trainee. She was exposed to both the technical and practical aspects of banking from front office to back office ranging from teller, enquiries, savings, investments, ledgers, foreign exchange(including Forward Exchange Contracts, Bankers Acceptance, etc), safe custody, securities, home loans, asset and vehicle finance, credit applications and credit approvals. Because of her excellent understanding of credit and risk assessment she was moved to First National Bank’s Commercial unit as an analyst. This role required an excellent understanding of credit, product and risk assessment. A full understanding was required of companies Financials in order to prepare and assess credit applications. Kilpena joined ABSA in 1999 as an external sales consultant. She then became the Commercial Manager with 6 direct reports and then Sales Manager with 10 direct reports. She then became the Branch Manager of ABSA N1 City with 36 direct reports. She then moved to ABSA Adderley Street which also had 2 additional sub branches(St George’s Mall & Gardens Centre). Total Direct Reports 89. Then moved to Johannesburg as the Branch Manager of Protea Park – Business Branch with 45 direct reports and matrix management of 28 other staff. She then became the Regional Manager for Gauteng South – Personal Financial Services(PFS) – she took this team from being number 16 out of 16 to number 2 within 9 months. PFS then merged with ABSA Private Bank and Kilpena was responsible for the integration of PFS with Private Bank for the bankers. Kilpena’s key responsibility was to ensure a smooth transition and successful integration and played and Change Management role. She was the given the responsibility to ensure that the Platinum Segment within the integrated Private Bank, became profitable and was sustainable. She then took on a Sales Enablement role with the ABSA Private Bank Head Office environment. The role required extensive travel and an ability to assist the Regional Managers and Banker to achieve targets. Her regions were Gauteng, Limpopo and Mpumalanga. She then became the National Sales Support Manager for Private Bank. Kilpena then joined Old Mutual Investment Group Property Investments in 2008 as the Head Product Marketing and Investor Relations in Fund Management supporting 2 Listed Funds and 3 Unlisted Funds. Kilpena has a BCom Honours(Economics) from University of the Western Cape in 1995,a Marketing Diploma from UNISA 1997 and a Credit Diploma through the CAIB in 1998. She is a qualified assessor and is currently doing part 2 for the Coaching qualification. She is a member of Greenpeace and supports many charity organisations i.e. St Luke’s Hospice, St Joseph’s Home, Muscular Dystrophy SA and The Society for the Blind.

  9. Independent Non-executive director: Modula Mofolo Modula Mofolo is an independent non-executive director of Black Lite Consulting. Modula is the Corporate Advisor at Khula Enterprise Finance Limited. As an advocate by training she has held various commercial legal advisory positions in within in the Financial Services sector, before moving into the corporate finance advisory space. Modula joined Khula in 2005 as Legal Advisor and played a critical role in the negotiation and conclusion of significant PPP partnerships with influential private and public sector players as well as introducing and implementing a Regulatory Compliance framework for Khula. She joined Khula Operations in 2007 as Corporate Advisor in the COO's office where she is directly involved with strategic formulations and implementation to ensure achievement key strategic initiatives; policy framework formulations; input in policy and/or strategic shifts; strategic plan formulations and overarching oversight to ensure continued focus on key strategic deliverables. Modula has good financial, analytical, strategic and operational skills, with extensive experience in sourcing, structuring and monitoring venture capital and private equity investments. She has a proven track record of delivering value through a hands-on operational approach to deal making. She has extensive experience in the design and structuring of speciality/niche investments funds with a particular focus on the small business financing sector. Modula closely liaises with Khula's fund managers and participates on some of the funds' investment committees. She has been instrumental in the structuring and drafting of Khula's BEE policy and Investment Charter. Prior to joining Khula, Modula was Legal and Compliance Officer at FNB Corporate where she actively participated in and facilitated the introduction and implementation of the FICA/FAIS Risk and Compliance Framework for FNB Corporate in its Electronic Banking division. She holds B.A. (Law) and LL.B degrees which she attained in 1999; served Articles at Webber Newdigate Attorneys Inc.; got admitted to the bar in 2000.

Key associations – Harvey Keown Through our strategic alliance with Africa Foundation for Sustainable Development we will offer an end to end service for strategically identifying projects that will not only enhance environmental sustainability but also address BBBEE, transformation, climate change and renewable energy in an integrated way. Black lite consulting will provide strategic consulting services while Africa Foundation will programme manage the implementation of the project and reporting. Black lite consulting will then ensure that the reporting is done in accordance with international reporting standards and is ready for verification by an independent third party. Black lite will also manage the verification process for clients. Harvey Keown is the founder of Africa Foundation , with a passion for sustainable development being done in a inclusive manner. Prior to starting the Africa Foundation he was a senior manager at Xstrata Coal South Africa, where he was responsible for Transformation and Rural Economic Development. The emphasis being on Sustainable Development with a focus on Rural Economic Development, Climate Change, Agriculture and the Mining Charter, Mining Codes and DTI Scorecards. The function required significant strategic and blue-sky thinking, and stretches the Stakeholder and Change Management capabilities to the limit. The present economic climate creates significant challenges for Government, Business and Civil Society alike. Prior to joining Xstrata he was Divisional Chief Information Officer (CIO), Director and Member of the Board of Pretoria Portland Cement (PPC), responsibly for all IT related matters across the Group (Cement, Lime and Aggregates & Readymix). Harvey also spent several years in China with MIH heading up various technology projects and has a well established network in China and Nigeria. He has several years experience in the De Beers Group, with in-depth knowledge of Technical Systems utilized in diamond mines. More recently by virtue of the De Beers Security Technical function, significant exposure to the opportunities and challenges presented to IT, C&I and the Technical Systems in the project environment. A career highlight has been the invitation by the Minister of Home Affairs to form part of the Intervention Task Team to advise the Minister on matters concerning IT strategy for the Department. Additionally, the invitation by the Computer Society of South Africa (CSSA) to assist with their Transformation objectives.
