PROJECT MANDATE Recommend business solutions in order to reduce the overall shipping cost • Utilize low cost providers of freight transportation services to reduce average costs • Consolidate shipments • Maximize unit load configuration on equipment to achieve better utilization of space • Reduce overall transit times from door to port • Offer multiple carrier and port options providers to ensure consistent product flow

BRP-SCHENKER STRUCTURE OF THE AGREEMENT • Schenker is responsible for the transportation of BRP's personal watercraft, sport boats, snowmobiles, all-terrain vehicles, roadsters and any other Finished Goods. • Schenker manages the movements of Finished Goods from the BRP facilities in Valcourt QC, Benton IL and Juarez MX to/from/between BRP dealers or distributors • Schenker provides a team of dedicated employees based in Valcourt managing all BRP accounts for all BRP sites. • Schenker utilizes a web-based transport management system (“TMS"). • BRP supplies to Schenker all orders related to the transportation of the Finished Goods from BRP's SAP to the TMS.

SCHENKER INTERNATIONAL CONCEPT OF OPERATION • Develop Standards of Operations encompassing order reception to port • Initiate Logistic Engineering Modifications and Continuous Improvement Enhancements. • Perform Transportation Management functions related to Order Processing, Load Planning, Load Tendering, Load Diagrams and Route Optimization. • Establish a network that encompasses Request for Proposals, Carrier Selection and Disqualification, Carrier Contracts, Freight Bill Auditing & Processing, Claims Settlement, Information Exchanges & Systems Interfaces. • Support Information Technology Initiatives such as Track & Trace, Electronic Data Imaging G/L Account Coding and Supplier Auto Pay. • Ensure compliance of Supplier Key Performance Indicators (KPI’s). • Provide Reports that are required by to measure and validate the Cost of the Services and the Services Provided.
