Valuing the Business • Two Values • Liquidation Value – net amount realized on liquidation of net assets • Going–Concern Value – mainly concerned with the future returns from the investment • Tangible Assets • Accounts receivables – at net realizable value • Inventory – at lower of cost or net realizable value • Land, Building, Equipment – fair market value • Intangible Assets • Goodwill, franchises, customer list, patents, licenses, etc. – much harder to value • Goodwill – the difference between the going-concern value of a business and the aggregate net tangible assets of the business – Ability to earn a greater return than is normal on tangible and intangible assets (Transferable Goodwill vs Personal Goodwill!)
