Background on Cape & Vineyard Electric Cooperative (CVEC) Next Steps: Site Plan approval:Stormwater Planetc.NStar Interconnection Services AgreementSecure Net Metering Credit Assurance • Cape Light Compact (CLC) desired to stabilize electric rates for all ratepayers with renewable energy projects • The Cape & Vineyard Electric Cooperative, Inc. (CVEC) formed out of a strategic planning process undertaken by the Cape Light Compact (CLC) in 2007 • With passage of Green Communities Act (GCA) in 2008, the opportunity for CVEC changed from wholesale energy development to Net Metered municipal energy development • CVEC PV Initiative Round 1 and Round 2 work in conjunction with the GCA to provide Net Metered municipal energy development • Now in CVEC Round 1 (~16MW for 7 municipalities) and • CVEC Round 2 (~20MW for 10 municipalities and districts) • Yarmouth not in Round 1 because Round 1 primarily capped landfills

District Leases or Sub-Leases Site to CVEC Structure of the Deal Benefit to Town is the reduction of electrical costs on specified accounts, and School budget relief due to District’s eliminated electrical costs CVEC Contracts with Developer to Finance, Build, Own, Operate PV CVEC Contracts to buy Power from Developer at Fixed-Price PPA Benefit from Monthly NStar Credits for PV electricity, less the cost of PPA, is split between Town & District (Half of ~ .05 per kWh = .025 per kWh) CVEC Applies Power to School District accounts at Fixed PPA price (~.07 per kWh) NStar Allocates Net-Metering Credits (~.12 per kWh) against those specified Town accounts NStar Allocates Net-Metering Credits (~.12 per kWh) against all accounts eliminating District Electric Bills CVEC Applies District’s Excess PV Power against specified Town Accounts Benefit to District is in Monthly NStar Credits for PV electricity less the cost of the PPA price (= savings of ~ .05 per kWh)

Additional Benefits to School District, Yarmouth Schools & Yarmouth • Two of the Yarmouth School installations are Behind-the-Meter, providing direct savings against those electrical accounts • The estimated carbon equivalent offset from all 5 PV installations in Yarmouth (including DY High) is estimated to be 5,515,514 pounds • The installations and information kiosks will provide support for DY science/math curricula and hands-on PV experience (underway)

Next Steps: Site Plan approval:Stormwater Planetc.NStar Interconnection Services AgreementSecure Net Metering Credit Assurance Benefits of CVEC Projects • Financing large scale renewable energy projects does not burden Town debt capacity • Professional and technical expertise in the energy field (3 PV Initiatives in the works – one producing power, two about to start construction) • Central contract for purchasing, O&M, and administration • Electric Cooperative bylaws generally limit member liability exposure to member pledge or capitalization ($25.00) • CVEC project-bundling provides economies of scale resulting in better PPA pricing and fixed PPA price contracts for the 20 years • Lower electric rates for municipal accounts benefits residents
