Board of Directors Orientation Board Positions
Board Member • Regularly attends board meetings and important related meetings • Stays informed about committee matters, prepares themselves well for meetings, and reviews and comments on minutes and reports • Makes a serious commitment to participate actively in committee work • Volunteers for and willingly accepts assignments and completes them thoroughly and on time • Gets to know other committee members and builds a collegial working relationship that contributes to consensus • Is an active participant in the Board's annual evaluation and planning efforts • Participates in fundraising activities for OCN • Participates in the recruitment and orientation of new Board members, as requested • Participates in the evaluation of the Executive Director
Board Terms Board Members = Two (2) Year Terms Board Officers = One (1) Year Terms Terms can be renewed with approval from the Board Development Committee and the Board of Directors
Board President • Provides leadership to the Board of Directors • Discusses issues confronting the organization with the Executive Director • Chairs meetings of the Board after developing the agenda with the Executive Director • Encourages the Board's role in strategic planning • Helps guide and mediate Board actions with respect to organizational priorities and governance concerns • Monitors financial planning and financial reports • Plays a leading role in fundraising activities • Formally evaluates the performance of the Executive Director and informally evaluates the effectiveness of the Board members • Evaluates annually the performance of the organization in achieving its mission
Vice President • the understudy of the President • fill in as needed for absences for meetings • may have the secondary power to commit resources in the absence of the President • provide additional leadership for special committees as seen fit by the officers • could accede to the office of president as outlined in the section on terms of office
Board Secretary • Maintains records of the Board and ensures effective management of the organization's records • Manages minutes of board meetings • Ensures minutes are distributed to members shortly after each meeting • Is sufficiently familiar with legal documents (articles, by-laws, IRS letters, etc.) to note applicability during meetings • Assures the timely management and archival of the organization’s records
Board Treasurer • Chairs the Board’s finance committee • Manages finances of the organization together with the Executive Director • Oversees fiscal matters of the organization • Provides annual budget to the Board for members' approval • Ensures development and board review of financial policies and procedures • Assures a regular and timely financial audit or review according to the bylaws of OCN
