Executive Summary General concept of project: Introduction: • Hidalgo Pacifica (herein – HP) currently owns and controls various land and options to purchase and develop a hotel/s at Playa Del Carmen Mexico, on the beach in the center of town. • HP shall develop a first class hotel in accordance with the specifications and design of a hotel operator / Franchisor (herein – operator) on terms agreed upon. • Upon receiving a solid commitment from the operator on terms agreed upon – HP will secure financing in the amount of $20,000.000 of which amount $8,000,000 (approximately) will be used to pay off existing debt and to obtain the land free and clear (so it can be offered as an additional collateral to the lender) . The balance will be used towards the construction. (the total project will be offered as collateral to both the lender and to the operator to the extent applicable – and on terms agreed) • As part of the overall transaction, the operator will commit to operate and/or manage from HP the hotel and to operate it for a minimum of 5 years at total cost estimated (as per agreed upon terms) Mil per year (predicated upon $14.5Mil gross revenues).

Executive Summary The site and scope of project: • The land (which includes two operating hotels on site) is situated in Playa Del Carmen Mexico located on the beach front at the center of town and includes approximately 4,500 Meters with about 75 meters beach front. • Current liens in the approximate amount of 10Mil. • Zoned for hotel use or condo hotel around 140 suites (approximately 50 meters each in addition to commercial area and beach clubs operation. • Area to be built 10,000 meters square with a business road on the west bound. • Cost of construction estimated approximately $1,400 per S/M. • Total cost of project between 30-35Mil • Total value of project 70 Mil (based on EBITDA 6.5 Mil. per year) • Estimated prospective annual gross income from operation – is based on 14,500Mil
