  2. Duke Energy Overview • Duke Energy Corporation is an energy company located in the Americas with an affiliated real estate subsidiary. The Company operates business units, which includes Franchised Electric, Natural Gas Transmission, Field Services, Duke Energy North America (DENA), International Energy and Crescent Resources, LLC (Crescent). Franchised Electric generates, transmits, distributes and sells electricity in central and western North Carolina and western South Carolina. Natural Gas Transmission provides transportation and storage of natural gas for customers throughout the United States East Coast, the Southeast, and in Canada. Field Services gathers, compresses, treats, processes, transports, trades, markets and stores natural gas; and produces, transports, trades, markets and stores natural gas liquids (NGLs).

Duke Energy Overview (cont.) • DENA operates and manages merchant power generation facilities and engages in commodity sales and services related to natural gas, and electric power around its generation assets and contractual positions. International Energy develops, operates and manages power generation facilities and engages in sales and marketing of electric power and natural gas outside the United States and Canada. Crescent develops and manages high-quality commercial, residential and multi-family real estate projects primarily in the southeastern and southwestern United States. The remainder of Duke Energy's operations is presented as Other.

  4. Growth Opportunities • August 8, 2005 - Duke Energy Corporation Enters Joint Venture With Gulfstream Natural Gas System, L.L.C. To Expand Long-Term Natural Gas Transportation Service to Tampa Electric • August 2, 2005 – Duke Energy completes $230 million acquisition of ConocoPhillips’ interest of Empress System. The acquisition expands Duke Energy operations into Western Canada.

  5. Growth Opportunities • July 15, 2005 - Duke Energy Corporation's Maritimes & Northeast Pipeline Signs Two Major Precedent Transportation Agreements Supporting System Expansion. Transaction will increase output 750,000 MMBtu/day of natural gas.
