Utility Transfer Acquisition At A Glance • Acquire Indianapolis Water system serving 1 million customers in 6-county area – system previously operated by Veolia Water now operated by staff transferred to CEG • Acquire Indianapolis wastewater system serving 800,000 people in Marion County – system operated by United Water • Citizens assumes $1.9 billion in water and wastewater debt • Citizens pays City $262.6 million • City of Indianapolis monetizes Payment in Lieu of Taxes (PILOT) on wastewater system -- $140 million

Utility Transfer Benefits • Removes systems from politics • Preserves local, public ownership by non-profit trust • Placement with professional utility operator • Wastewater rates determined by Indiana Utility Regulatory Commission (water already regulated) • Synergies provide annual savings > lower rate increases • ~$425 million in proceeds to be used by City for street, storm water and other infrastructure needs • Improved quality of life for community

Citizens Commitments • Safe, high-quality water & wastewater service • Continue system investments including: • $3.5 billion Combined Sewer Overflow Consent Decree, STEP & System Recapitalization/Rehabilitation Program • Continue Septic Tank Elimination Program – 7,000 by 2013 • Achieve $60 million in annual savings • Reduce rate increases 25% by year 2025

Utility Transfer Transition • Virtually all Water (Veolia) employees retained • Contract with United Water as wastewater operator retained • 35 employees from DPW & DOW retained • Operating wastewater business under the “Citizens Water” brand • Citizens Water assuming responsibility for Industrial Pre-Treatment Program including enforcement • Future responsibility for Private Development & Building Service permitting currently performed by DCE • Day 1 for New Citizens - August 26, 2011
