Background Summary • 2008 HOD discussion leads to formation of Restructuring committee • 2009 committee held numerous wide ranging discussions, benchmarked 30 professional organizations • 2010 committee renamed Evolution to reflect more than just a restructure, concluded AACPM must change to survive • 2011 committee met monthly, conducted detailed survey and extensive research • 2011 HOD unanimously voted to initiate affiliation agreement discussions 2011 AACPM House of Delegates AACPM / ASPA Affiliation Agreement Presentation

Background – 2010 Change Conclusion Basis • AACPM fails to deliver benefits demanded by members or provided by other organizations • Members want more, but not willing to pay more or to run for office or volunteer for committee service • Societies struggle to comply with basic reporting requirements (rosters, delegates, etc.) • Support from Programs has weakened over time • Membership declining and high annual turnover, due to above items and increasing retirements • Volunteers being recycled regularly at all levels 2011 AACPM House of Delegates AACPM / ASPA Affiliation Agreement Presentation

Background – 2011 Evaluation and Conclusion • Survey of 1,605 current and former members • Additional research performed on previously benchmarked areas • Research reinforced prior conclusions regarding benefits desired, financial pressures and membership issues • House of Delegates reviews options presented by Evolution Committee and unanimously votes to pursue an affiliation agreement with ASPA (American Society of Public Administration) • AACPM Board appoints ad-hoc committee to conduct negotiations on AACPM’s behalf 2011 AACPM House of Delegates AACPM / ASPA Affiliation Agreement Presentation

Early Coordination With ASPA • ASPA President Eric Bergrud attended AACPM Conference in Salt Lake City and met with interested members • In late October, 2011, ASPA appointed a negotiating committee to work with AACPM • In November 2011 the joint negotiating committee agreed to focus on the following areas: • Organizational Structure • Membership Benefits and Services • Fee Structure • Governance • Administrative and Staff Resources and Support 2011 AACPM House of Delegates AACPM / ASPA Affiliation Agreement Presentation

Organizational Structure Workgroup • Organizational Structure Workgroup met numerous times via phone and email • Discussions included: • How will the two organizations fit together • How best to protect the AACPM identity • How best to preserve the Societies as organizational entities • What changes would AACPM need to make to fit • What happens to the existing ASPA CPM Section • What is the necessary timeframe to approve and implement • Discussions resulted in a framework agreement supported by all of the AACPM and ASPA committee members 2011 AACPM House of Delegates AACPM / ASPA Affiliation Agreement Presentation

AACPM / ASPA Framework Agreement • The Framework Agreement contained the following provisions: • There will be a transition period starting March 2, 2012, and concluding December 31, 2012 (but no later than December 31, 2013 if necessary), during which details of the new AACPM section will be established • ASPA benefits for ASPA/AACPM members will begin immediately upon approval of both the ASPA National Council and the AACPM House of Delegates • During the transition period AACPM will develop its Section Constitution. AACPM’s internal structure will be independent and AACPM retains the right to self-organize in terms of Societies, etc 2011 AACPM House of Delegates AACPM / ASPA Affiliation Agreement Presentation

  9. AACPM / ASPA Framework Agreement • AACPM will be considered a section within ASPA commencing in 2013 (2014 if necessary). Once approved, AACPM will be required to comply with section responsibilities including financial oversight • AACPM will retain its name and identity, functioning similarly to COMPA in terms of its independence, and will have 1 vote on ASPA’s National Council, as does COMPA (COMPA is the Conference of Minority Public Administrators, a Section of ASPA that was an independent organization who came into ASPA in the 1970’s the same way we are proposing to do so now) • The current ASPA Section for Certified Public Management (SCPM) will be disestablished and AACPM will become the successor Certified Public Management Section within ASPA • The current members of the disestablished SCPM will be encouraged to rollover and become members of AACPM 2011 AACPM House of Delegates AACPM / ASPA Affiliation Agreement Presentation

AACPM / ASPA Workgroups • Governance Workgroup discussions included: • What organizational structure limitations may be needed • What membership classification changes may be necessary • How to address incorporations/FEINs to meet ASPA model • What are potential impacts to the AACPM Board and HOD • What are potential impacts to the ASPA National Council • Fee Structure Workgroup discussions included: • What are potential impacts to dues collection/disbursement method • What are potential dues amount impacts and costs of service • What are potential taxation issues within ASPA model • What is possibility of reduced dues for AACPM members for 1 or 2 years as a transition period 2011 AACPM House of Delegates AACPM / ASPA Affiliation Agreement Presentation

AACPM / ASPA Workgroups • Membership Benefits/Services Workgroup discussions included: • Are tiered benefits feasible or advisable • Are subscriptions in lieu of membership feasible • How and when will AACPM members begin receiving benefits • Administrative Staff Resources and Support Workgroup discussions included: • Will ASPA staff provide membership renewal invoicing and dues collection/disbursement • Will ASPA staff be available to assist with conference planning • Will ASPA staff be available to assist AACPM members with transition related questions/concerns 2011 AACPM House of Delegates AACPM / ASPA Affiliation Agreement Presentation

Details Still Needing to be Addressed • What dues amount will be established, and will it require a standardization of Society dues amounts • With switch to a top down structure to fit into the ASPA structure, how will we collect and distribute Society roster information and dues • To meet reporting requirements to ASPA, what controls need to be put into place regarding Society/Chapter activities • How to address changes to the current incorporation and tax ID status of AACPM member organizations to comply with ASPA’s incorporation and tax status 2011 AACPM House of Delegates AACPM / ASPA Affiliation Agreement Presentation

Details Still Needing to be Addressed • Revisions to AACPM bylaws are necessary to meet the ASPA Section Constitution template – content already exists, just appears to be a reformatting exercise • ASPA Section Board requires a President and Treasurer, other positions are AACPM’s discretion – what makes sense going forward • Does it make sense to make changes to the HOD at this time (membership makeup, voting, rules, etc.) • What makes sense for membership classifications in order to meet ASPA’s desire for a simplified structure 2011 AACPM House of Delegates AACPM / ASPA Affiliation Agreement Presentation

Details Still Needing to be Addressed • Will ASPA allow AACPM to continue to require certification in order to serve on the Board or chair a committee • Does AACPM continue to hold a separate conference, or do we hold it in conjunction with the ASPA conference, and what changes to the conference would occur as a result • Is ASPA willing to offer reduced dues to AACPM members for 1 or 2 years as a transition period to the new AACPM Section of ASPA • Is ASPA willing to make some benefits available immediately at no cost for AACPM members to get exposure to them 2011 AACPM House of Delegates AACPM / ASPA Affiliation Agreement Presentation

Details Still Needing to be Addressed • What will be the final disposition of the current ASPA Section for Certified Public Management (SCPM) – disestablishment or transition to a refocused purpose • If the current SCPM repurposes, are there opportunities to partner on activities, publications, conference events, etc. • What mechanisms, if any, are necessary to ensure continued cooperation/coordination with the Consortium • What mechanisms, if any, are necessary for the CPM Education Foundation to take as a result of this action 2011 AACPM House of Delegates AACPM / ASPA Affiliation Agreement Presentation

  16. Recommendation • The ASPA National Council voted unanimously on March 3rd to approve the Framework Agreement and move forward • The ad-hoc AACPM/ASPA Negotiating Committee recommends the following actions: • The AACPM HOD vote to approve the Framework Agreement as an indication of support for the direction of the negotiations and continued support of the affiliation with ASPA • To expedite discussions, the AACPM Board call upon ASPA to hold a face-to-face workshop at the earliest possible time to negotiate the remaining details for presentation to both organizations • The AACPM Board allocate funding to support the face-to-face workshop to be attended by the AACPM members of the negotiating committee 2011 AACPM House of Delegates AACPM / ASPA Affiliation Agreement Presentation

  17. Motion Move that AACPM approve the proposed framework agreement for affiliation with the American Society for Public Administration (ASPA), that the negotiations continue forward to focus on the specific details of the affiliation in accordance with the framework and the provisions approved by the HOD in the October 2011 meeting, and that a final agreement for affiliation be brought back to the members of this HOD by August 31, 2012 for final ratification. 2011 AACPM House of Delegates AACPM / ASPA Affiliation Agreement Presentation
