8. CHARACTERISTICS OF TBESS THE BIOLYTIX TECHNOLOGIES EMPLOYEE OWNERSHIP SCHEME TBESS (The Biolytix Employee Share Scheme) Trust established in 2005, with 3 Trustees, including CEO and 1 staff-elected Trustee, who is elected biennially by all staff;
With posting of Annual Financial Statements, the Board decides (within the constraints of the 20% of employee share-holding limit) the amount of above-budgeted profit which can be allocated as units to be held by the Trust until they are issued as shares to the nominated staff 3 years later;
Any staff member who has worked for the company for the full financial year is eligible to receive an allocation of units;
Units/shares are allocated to staff on the basis of a multiple of their employment level and their performance appraisal (done by self, peer and management).
