  32. BNL operativity through BNP Paribas Network in Russia Presence & Services

  33. BNP Paribas in Russia • Some key facts / Key figures • BNP Paribas present in Russia since 70s • Current setup established in 2002 • 750+ employees in various subsidiaries • BNP Paribas ZAO (BBB; 200 professionals) – the core entity of the group to develop corporate & investment banking services • Business Lines & Branches • Corporate & Investment Banking (1 location - Moscow) • Strong E&C franchise • Retail / Cetelem (consumer finance) • Arval (fleet management) • Cardif (insurance) • Strategy • Russia is a priority country for BNP Paribas in Europe • Initially the bank developed its presence around the energy & commodity franchise • Today it has a very diversified client base, which goes beyond oil & gas and metals & mining, namely encompassing telecoms, transportation, retail trade • Strong focus to accompany our international clients in Russia

  34. Country Presentation Russia BNP Paribas Product Offer • Cash Management • CM was not on our product list in the past • Until now we made available just off-shore solutions (ConnexisCash) for a very limited number of clients (servicing Gazprom subsidiaries in Europe is the largest mandate so far) • National champions with extensive networks (Sberbank , VTB and Gazprombank) dominate the CM landscape, with Citi, ING, Deutsche, Unicredit, RZB and SG being well positioned with contributors and consistently winning account bank roles in structured finance deals • Restrictive currency control regime precludes cross-border pools, but allows banks to charge additional fees for foreign currency transfers • Currently a domestic web-based electronic bank is implementated, on the back of which vanilla services and domestic pooling (notional) will be offered. This should be sufficient to bring our offer to the level of all peer competitors. • Mass payment product for salary payments is under implementation • Global Trade Solutions • We offer the full range of products such as: payment guarantees, letters of credit, VAT reimbursement guarantees, tax guarantees, customs bonds, tender bonds, performance bonds • Supply chain management

  35. Country Presentation Russia BNP Paribas Product Offer • Corporate Lending • We have been traditionally strong with E&C names, but more recently have reinforced our footprint with non-commodity corporates as well (telecoms, transportation, retail trade, power) • Historically E&C names were opting for PXF structures, but today we see more and more unsecured lending and ECA-covered financing • BNP Paribas has acted as MLA in virtually all large syndications in the last few years. A particular point to note is that we have led in Russia over $3.5 bio of EF deals in the last 18 months across all major sectors. • Domestic currency funding is possible but mostly up to 3 years, as we lack the natural funding base • Fixed Income • DCM – top 5 on eurobonds with 9 mandates and $6.3 bio of volume. Particular point to note is that we led all CHF issues out of Russia since 2009. No domestic bond capability yet, but product under study / development. • FX and IRD – strong on-shore platform mostly geared to large one-offs. Current focus is to develop vanilla franchise on the back of CTBE and ensure that we systematically embed hedging in financing products • Commodity derivatives – mostly delivered off-shore, but local trading platform under development Investment Banking Metiers • Corporate Finance – team of 7 professionals on the ground, able to ensure smooth local execution. Notable deals were the $2.2 bio IPO of Rusal, where we acted as global co-ordinator (2010) and the advisory mandate on the restructuring of the Russian power sector (2008) • DCM – see previous slide • Risk management solutions – see previous page • Acquisition Finance – limited flow of deals in the past was offered by the market as a whole, yet we managed to have some hits in metals & mining and retail trade
