  3. 约首部分 • 合同名称(Name of contract) • 合同号码(No of contract) • 签约的时间和地点(Time and place of signing) • 缔约双方的名称和地址(Name and address of the two parties) • 订约意图(intent of signing)

  4. 正文部分 • 品名及规格（Name of Commodity and Specification ）或商品的描述（Description of goods） • 【条款示例】：大豆：含水量（最高）15%，含油量（最低）17%，杂质（最高）1%（Soybeans :Moisture(max) 15%，Oil Content (min) 17%，Admixture(max) 1% ）

  5. 商品的数量(Quantity of commodity) • 数量条款一般包括商品的数量、计量单位及/或数量机动幅度（ more or less clause） • 【条款示例】：山东大花生，10000公吨，可以有2％的增减，由卖方选择（Shandong Peanut, 10000 M/Ts, with 2% more or less at seller’s option） • 商品的包装(Packing of commodity) • 包装条款一般包括包装材料、包装规格、包装费用及包装标志中的运输标志（即唛头，Shipping Mark） • 【条款示例】：单层新麻袋包装，每袋净重50公斤（In new single gunny bags of 50kgs net each）

  6. 商品的价格(Price of commodity) • 单价(Unit price)的四个组成部分 • 【条款示例】：进口单价：每件50美元，FOB纽约，包含3%佣金（USD 50.00 per piece FOBC3% New York ） • 装运条款(Terms of shipment) • 装运条款一般包括运输方式(means of transport)、装运时间(Time of shipment)、装运港/目的港(Port of shipment/Port of destination)、是否允许分批装运(Partial shipment)和转运(Transshipment)等。

  7. 保险条款(Terms of insurance) • 保险条款因买卖双方采用的贸易术语不同而不同。 • 支付条款(Terms of Payment) • 由于支付方式不同，支付条款内容有所不同： • 汇付方式：一般需明确汇付时间、汇付方法和金额。 • 【条款示例】：买方应不迟于2012年7月15日将全部货款用电汇方式预付卖方。 • 托收方式：一般应规定交单条件和付款、承兑责任及付款期限等问题。 • 【条款示例】：买方对卖方开具的见票后45天付款的跟单汇票，于提示时应即予承兑，到期日付款，付款后交单

  8. 信用证方式：一般需明确信用证的种类、受益人、开证时间、付款期限、信用证有效期及到期地点等。信用证方式：一般需明确信用证的种类、受益人、开证时间、付款期限、信用证有效期及到期地点等。 • 【条款示例】：以卖方为受益人的不可撤销信用证，凭即期汇票付款。信用证应于装运期前1个月开抵卖方，有效期至上述装船日期后15天在中国到期。 • By irrevocable letter of credit in favor of the seller，available by draft at sight, reaching the seller one month ahead of shipment, valid for negotiation in China within 15 days after the prescribed time of shipment.

  10. 约尾部分 • 约尾主要说明合同的份数、附件及其效力、使用的文字、合同生效的时间、合同适用的法律以及缔约双方当事人（法人代表或其授权人）的签字等。 • 【条款示例】：本合同适用中国法律并受中国法律管辖。本合同中、英两种文字具有同等法律效力，在文字解释上，若有异议，以中文解释为准。本合同共两份，自双方代表签字（盖章）之日起生效。 • This contract shall be construed in accordance with and governed by the laws of P.R. China. This contract is made out in both Chinese and English of which version is equally effective. Conflicts between these two languages, if any, shall be subject to Chinese version. This contract is in 2 copies, effective since being singed by both parties.
