Steps to follow for Changing Registered Office Address within the Same City Registered office is considered as an official address of a firm which is recorded and maintained by the registrar of companies (ROC). Following the guidelines stated under Section 12 of the Companies Act, registration of an office is a mandate, which is also considered as a physical address at which correspondences can be sent. Such address must be constant and in case of change, the same is important to be registered. Change of registered office within same city is relatively an easier migration and requires a particular process so that the address updated is capable of receiving official communication from government department. In case of such address change, it is important for the businesses to report the same to ROC by filing form INC-22 within 30 days of such change. However, for change within the city, firms are required to take prior approval from ROC or RD. Is change of registered office within same city a complicated process? The short answer is No. As compared to change within state or abroad, shifting registered office within the city is relatively easier. For change in the registered office within the same city, businesses do not need to need prior approval from the central government, but such a change must be approved by the Board of Directors filing the Form INC-22. However, in case of shifting registered office from one state to another, firms require approval of the regional director having jurisdiction. The change of registered office is quite permissible by the government and entails for three different scenarios. Some of the requisites are: Execution of a rent/lease agreement with property owner: In case the new premises are occupied by the company, it must be done with proper document execution like a Sale deed or Rent Agreement. Getting NOC from the address owner: It is important to have a non-objection certification from the previous owner of the property. In case the office is shifting to a location not per-occupied by any, the NOC is exempted Board of Directors to pass shift of address resolutions: Business should have a record of a convened meeting wherein all the BODs adopt and agree with majority to the Change of the Registered Address with the same city. Form filling: Businesses must intimate ROC by filing INC-22 within 30 days of such change followed by changing the Stationary & Sign Board. As soon as the registered address gets changed, a firm is required to incorporate change in all its signboards as well as its marketing material.
