  1. Section 175of 2013 Circular Resolution

  2. Pre-requisites: • Resolution is to be circulated in draft along with necessary papers to all Directors at their Registered Address by hand delivery, or by post, or by courier or electronics means i.e.. Email or fax.

  3. Approval • By majority of Directors who are entitled to vote on resolutions.

  4. Noting • Such Resolution is to be noted at subsequent board meeting and is to be added to minutes.

  5. Non- Applicability • Where minimum 1/3rd of total number of Directors requires that resolution under circulation must be decided at board meeting.
