CHEQUES DE PAGO DIFERIDO GARANTIZADOS POR WARRANTS: OBJETIVOS PRINCIPALES • Nueva Alternativa de FINANCIAMIENTO de ECONOMIA REAL ARGENTINA a través de MERCADO DE CAPITALES. • Brindar nuevas fuentes de FINANCIAMIENTO para EMPRESAS PYMES vinculadas con SECTOR AGROPECUARIO, INDUSTRIAL O COMERCIAL. • Coadyuvar a mejorar condiciones para acceso a financiamiento de PRODUCTORES, INDUSTRIALES, COMERCIANTES ARGENTINOS (monto, plazo y menores tasas). • Diversificación de Productos para Emisores Pequeños LOCALES. • Nuevos INSTRUMENTOS con GARANTIA REAL para mejorar y diversificar PORTFOLIO Inversores Individuales e Institucionales.

CHEQUES DE PAGO DIFERIDO GARANTIZADOS POR WARRANTS: OPERATORIA Y BENEFICIARIOS • PERSONA o EMPRESA que posee activos reales, como CEREALES, a efectos de obtener FINANCIAMIENTO contra ellos, los entrega en depósito a una almacenadora (WARRANTERA), conservando la propiedad. • WARRANTERA: emite CERTIFICADO DE DEPÓSITO y WARRANT (Título Valor que representa Garantía Real respaldada por mercadería entregada en depósito). • TENEDOR de WARRANT: utiliza como garantía para descontar CHEQUES propios o de terceros en MERCADO DE VALORES DE ROSARIO S.A. (NUEVO Segmento Directo Garantizado con WARRANT). • RESTO ECONOMIA ARGENTINA:Aprovecha la baja de tasas de interés.

  4. CHEQUES DE PAGO DIFERIDO GARANTIZADOS POR WARRANTS: ¡VENTAJAS WARRANTS! • PARA ACREEDORES (INVERSOR): • GARANTÍA REAL de liquidación extrajudicial. Venta no se suspende por quiebra, concurso preventivo o muerte del Depositante, ni por cualquier otra causa que no fuere orden judicial escrita. • Mercadería en GARANTÍA: controlada por tercero (Warrantera), quien se hace responsable del cuidado y guarda en cantidad y calidad de la misma. • MERCADERÍA ASEGURADA por cía. de seguros de primera línea. PARA DEPOSITANTES (PYMES): • Mejores condiciones de Financiación por “GARANTÍA REAL” que presenta el WARRANT. • Menores costos de financiación, que presentando otras garantías. • Facilita comercialización, permitiendo escapar a los bajos precios de las mercaderías existentes en épocas de sobre oferta (cosechas) a los que se someten los productores, debido a la estacionalidad propia de los CEREALES.

CONCLUSIONES Y PROXIMOS PASOS • La CNV y el MVR lanzan nuevo instrumento de negociación que une ECONOMIA REAL con MERCADO DE CAPITALES. • FINANCIAMIENTO para PYMES LOCALES, vinculadas con SECTOR AGROPECUARIO, INDUSTRIAL O COMERCIAL. • INSTRUMENTO con GARANTIA REAL para mejorar y diversificar PORTFOLIO Inversores Individuales e Institucionales. • 2010… NUEVOS INSTRUMENTOS: • TRABAJANDO para la NEGOCIACION DIRECTA del WARRANT (Proy. Mod. Ley). • REGULACION CNV PARA INCORPORAR OPERATORIA CPD GARANTIZADA CON PRODUCTOS ECONOMIAS REGIONALES EN TODOS LOS MERCADOS. • DESAFIO: EXTENDER PLAZOS CON OTROS INSTRUMENTOS CON IDENTICA CALIDAD QUE CPD.
