  2. THIS DEED OF TRUST is executed on this 24th day of January month, 2005 between Shri. Senthilkumar Gopalan, son of Shri. S. Gopalan, aged 31 years, residing at Payir Office, Thenur village, via T. Kalathur, Kunnam Tk, Perambalur Dt., Tamil Nadu Now residing at Door No 48, Ammamandapam Road, Mambazhachali, Trichy 620 005, hereinafter called the FOUNDER/MANAGING TRUSTEE of the Trust. Shri S.Sethuratnam S/o Shri. Sithambaram Pillai aged 72 years residing at Verdun Estate, Sengadu Post, Yercaud, Tamil Nadu, 636 601, hereinafter called the Trustee/CHAIRMAN of the Trust and Shri. M.Meenakshisundaram S/o Shri. SV.Meenakshisundaram aged 58 years, residing at Lakshmi Illam, No. 3, Markandeyar Kovil Street, Karaikudi, Tamil Nadu, 630 001, hereinafter called the Trustee/TREASURER of the Trust. Hereinafter referred to as the ‘THE TRUSTEES’ (which expression shall unless to be repugnant to the meaning on context thereof, include the survivors or the survivor and their on his or her assignees and other Trustees or Trustee, for the time being of these presents) of the OTHER PART. WHEREAS the Managing Trustee is interested in facilitating the creation of a self-reliant and harmonious rural society by implementing integrated rural empowerment projects. AND WHEREAS for the purpose of implementing such projects the Managing Trustee has decided to set apart and settle a sum of Rs. 1001 (Rupees One Thousand one only) as the nucleus fund to carry out such projects. AND WHEREAS the Managing Trustee has decided that such projects should be conducted and managed by an autonomous board of Trustees. AND WHEREAS at the request of the Managing Trustee, the Trustees have agreed to be the First Board of Trustees. AND WHEREAS the Managing Trustee and the Trustees have decided that further funds shall be collected by the Trustees for the fulfillment of the objects of the Trust. AND WHEREAS prior to the execution of these present, the Managing Trustee has handed over to the Trustees the said sum of Rs. 1001 (Rupees One Thousand one only) (the receipt whereof the Trustee do hereby admit and acknowledge). AND WHEREAS the Managing Trustee and the Trustees are now desirous of declaring the Trust and of executing this deed concerning the said sum of Rs. 1001 (Rupees One Thousand one only) and the said projects. NOW THEREFORE THIS DEED OF TRUST WITNESSES AS FOLLOWS: This Trust shall be known as PAYIR TRUST. NATURE OF THE TRUST: The Trust shall be a secular and charitable Trust having no commercial or profit motive. The properties or income of the Trust shall be applied solely towards the promotion of the objects for which the Trust is created and no portion of it shall be utilized for payment to Trustees/members by way of profit, interest, dividends, etc. BENEFITS OF THE TRUST: The benefits of the Trust will ensure to all sections of the public in India irrespective of caste, creed and religion without any distinctions. NUMBER OF TRUSTEES: There shall not be less than three and not more than seven. 5. The office of the Trust shall be situated at present in building Payir Office, Thenur village, via T. Kalathur, Kunnam Tk, Perambalur Dt., Tamil Nadu or at such other place in India as the Trustees may decide upon. The Branch offices of the Trust if deemed necessary shall be opened at the discretion of the Trustees at one or more places in India. PAYIR Rural Empowerment Facilitation center

  4. 6. The mission of the Trust shall be: To facilitate in the transformation of Indian villages into a socially stimulating, self reliant, growth oriented community. To achieve this, the Trust shall apply the Gandhian fundamentals of Panchayat Raj. The project focuses on a two-pronged strategy: Community Care by funding and administrating subsidized primary health care and primary education. Community social and economic development by bringing in changes to agricultural practices & methodologies; live-stock care and facilitating growth of small scale industries using latest technologies and best practices. A participatory approach where the affected people have a direct involvement in programs shall be adopted, in and during the plan design and development effort. 7. The objects of the Trust shall be: To alleviate poverty and bring about better living conditions among the rural poor and in general rural development by implementing appropriate rural industry programmes. To build, operate and manage primary health care centers in rural areas and provide quality health care services including women and child care, in-patient and out-patient care, emergency care, minor surgeries. c. To conduct health camps addressing specific health conditions like eye ailments, speech and hearing problems, contagious disease eradication camps or such other camps. d. To conduct rehabilitation camps like physical rehabilitation, leprosy rehabilitation or such other camps. To conduct mobile clinics and ambulance services for the target community. f. To provide health education, hygiene awareness and nutritional management to target people on improving overall personal and community health. PAYIR Rural Empowerment Facilitation center

  5. f. To provide health education, hygiene awareness and nutritional management to target people on improving overall personal and community health. g. To train and involve volunteers as health workers. h. To build and manage elementary, middle schools and vocational schools in rural areas. i. To build and manage children libraries, community libraries and reading rooms. j. To promote and transfer knowledge and skill, introduce alternate and best practices on agricultural and live-stock development and management. k. To facilitate creation of self help groups among men and women and to partner with micro credit and knowledge organizations to support such self help groups. l. To facilitate, by example and by training, in building rural infrastructure in the following areas: i. Local Roads ii. Application of Renewable energy sources for local power requirements iii. Water and Irrigation management iv. Community Sanitation management v. Setting up Internet Kiosks m. To partner with the Government and its agencies in undertaking and implementing its community development schemes using and involving the rural human resources. To network and associate with non-profit, non-government and other such organizations, welfare groups, national and international development agencies to evolve, harness, leverage the common synergies, programmes and resources in rural people development. o. To promote, evolve and apply the concepts of Sarvodaya and Panchayat Raj in creating a sustainable, self-reliant, and socially equitable and a peaceful rural society. The Trustees shall hold the said sum of Rs. 1001 (Rupees One Thousand one only) and all other funds, money and property which may be received by them or secure to the Trust hereafter either by way of donations, subscriptions, gifts, incomes, rents, interests and all investments representing the same (all of which hereafter referred as the “TRUST FUND”) on Trust and subject in the owers, provisions, agreements and declarations hereinafter declared and contained concerning the same. For the purpose of carrying out the objects of the Trust and for providing the facilities and undertaking the activities as mentioned above, the Trustees shall be entitled to utilize the funds of the Trust as well as its income, in such a manner as they shall in their prudence and judicious discretion as deemed proper. For the realization of the objects of the Trust, the Trustees may receive from the Government and Non-Government organizations such grants, contributions as they are pleased to give, and shall be entitled to receive upon such terms and conditions as they may deem fit, donations, gifts, subscriptions or even legacies in cash or in kind. With the view to gather or augment the trust funds, the Trustees may have recourse to staging all kind of entertainments, dramas or fetes or cultural programmes as deemed proper and to collect funds by public or private appeal for carrying out the objects of the Trust. 11. For the purpose of carrying out the objects of the Trust, the Trustees shall be entitled to purchase and/or to construct one or more buildings or purchase or secure on lease other immovable property or properties suitable for the functioning of the project. The Trustees shall also be entitled to purchase or acquire furniture equipment and all other movable property as may be necessary or proper for maintaining and conducting the projects and for providing the facilities and undertaking the activities at such places as may be decided upon otherwise to give effect to the objects of the Trust. The Trustees shall be entitled to sell by public auction or private treaty as they may deem proper any immovable properties forming part of the Trust, upon such terms and conditions as they may deem proper and beneficial to the Trust. The Trustees shall have the power to raise loans or obtain advances for the purpose of the Trust with or without security and upon such terms and conditions as they deem proper. The Trustees shall be entitled to let out its building or portions thereof as is not required for the purpose of the Trust and also other immovable properties which form part of the Trust on such terms and conditions as they deem proper. The Trust shall be entitled to levy charge and collect such fees on subscription, as they may from time to time decide, for the facilities to be provided for the use of and occupation of the rooms, auditoriums or any other part of its buildings. The Trustees shall invest the Trust Funds in Fixed Deposits with Scheduled Banks, Government Securities or any other Investments as provided for in section 11(5) of the Income Tax Act 1961 read with section 13 (i) (d) of the Income Tax Act, 1961. Every property of the Trust movable or immovable shall be kept in the name of the Trust. Provided further that the powers of the Trustees shall be exercised as to ensure that the income of the Trust would be exempted under section 11 of the Income Tax act, 1961 as read with sections 12, 12(1) from time to time. It is further clarified that the power of investment of the trust funds including those mentioned in clause 15(f) shall be exercised in accordance with the provisions of section 3 of the Income Tax act, 1961 in general and in particular shall not violate the provisions of section 13(i) (d) read with section 11 (5) of the act so as to ensure exemption under the Act.   8. IRREVOCABILITY/AMENDMENTS TO THE TRUST: The Trust hereby created is irrevocable. The provisions hereof may be amended, if the Trustees for the time being unanimously or by not less than 3/4th majority consent provided that the character of the Trust as a secular and charitable Trust establishment for the promotion of the objects herein before set forth, shall not be altered. AMENDMENT CLAUSE: No amendments to the Trust deed shall be made which may prove to be repugnant to the provisions of sections 2 (15), 11 & 12 and 80G of the Income Tax Act, 1961. INDEMNITY: The Trustees shall all time stand indemnified in respect of any act that may be done bonafide in respect of matters relating the Trust. 21. The Trustees shall be entitled to appoint any of the Trustees to execute or render his/her services devoting either whole time or part-time various activities of the Trust and for the services rendered they shall draw allowances and other pre-requisites as the Trustees may time to time determine. 22. Every new Trustee appointed as aforesaid shall have these same rights, duties, powers, authorities and discretion and shall in all respects act as if he/she had been originally appointed Trustee under these presents. Whenever any Trustee resigns or dies or becomes insolvent or insane or if so convicted of a criminal offence involving moral turpitude or desires to be discharged from or refuses or becomes unfit or incapable of acting in every sense, the surviving or the continuing Trustees or Trustee for the time being shall be entitled to appoint a Trustee in the place of such Trustee becoming insolvent or being convicted. The term of office of a Trustee shall not exceed three years from the date of his/her acceptance of the trusteeship, provided however that he/she shall be eligible for re-appointment as Trustee. Every resolution or decision of the Trustees shall be taken by the majority of the Trustees present and voting and in case of a tie, the Managing Trustee or the Chairman of the meeting shall have a casting vote. The Managing Trustee or the Chairman of the meeting may pass any resolution by circulation if it is unanimous. PAYIR Rural Empowerment Facilitation center

  9. The Board of Trustees shall transact any business that shall be specified in the agenda or otherwise agreed to by the Trustees. During the annual board meeting, the annual audited statement account of the Trust shall be placed before the board for its approval. The Trustees shall conduct an annual board meeting. The meeting shall be convened by the Managing Trustee. In addition to the annual board meeting, the board of Trustees will convene once in 6 months to review and plan the activities of the Trust. The Trust shall be entitled to frame rules and regulation for the conduct of their business and for the administration of the Trust and for carrying out its projects, activities and the facilities provided there in and to alter, amend or vary such rules and regulations from time to time as they deem proper. Such rules and regulations shall not be in contravention of the provision of the Income-Tax Act in this respect. A bank account or accounts may be opened in the name of the Trust and the said account or accounts may be operated by the Managing Trustee alone or jointly by Managing Trustee and the Treasurer as decided by the Board of Trustees. Proper accounts showing all receipts and disbursements made on account of the Trust hereby constituted shall be kept by the Treasurer of the Trust and shall be duly audited by a Charted Accountant appointed. The accounting year of the Trust shall be the financial year, that is, from April to March of every year and for the first time, the books shall be closed as on 31st March 2005. The Managing Trustee shall have the full power to negotiate or compromise or compound all action/suits and the proceedings and all differences and demands and to refer disputes or differences in arbitration and to adjust, settle and approve all accounts relating to the Trust Funds. The Managing Trustee shall be entitled to appoint personnel or advisory committees for the purpose of carrying out the objects of the Trust and fix their salary or remuneration and to fix the terms of employment and to dismiss or dispense with the services of such personnel/committees and to make provisions for the benefit of the staff by way of Provident fund, Gratuity or otherwise deemed proper.   10. The Managing Trustee shall be entitled to appoint Chartered Accountants, Legal Advisors and such other professionals on such terms as deemed fit from time to time. The Trustees for the time being may reimburse themselves or himself or herself on pay and discharge out of the Trust Fund all expenses properly incurred in or about the execution of the Trust or powers under these presents. It is hereby declared that no benefit accrued shall ensure either directly or indirectly to the Trustees. FAILURE OF THE TRUST: In the event of the determination of the Trust or dissolution of the Trust for any reason, the Trustees shall make over or transfer or amalgamate the assets and liabilities of the Trust to a charitable institution or a charitable trust or a charitable society having similar objects of this Trust and also enjoys recognition under section 80G of the Income Tax Act, 1961 as amended from time to time. The Trust does not own any immovable property at the time of its registration other than the Trust nucleus fund of Rs. 1001 (Rupees One Thousand one only). That the Trust will not carry on any activity with the intention of earning profit and will carry out its objects with service motive to all sections of people in India irrespective of case, creed or religion. In Witness whereof, the Founder of the Trust, has set his hand hereunto this 24th day of January 2005 at Trichirapalli, accepts and executes this Trust along with other Trustees.
