Constitution • draft constitution circulated based on a Company Ltd by Guarantee • within this structure two organisational options emerging:- • a management committee (directors) with delegated power to run the business but responsible to the whole membership at the AGM, this is a typical Company of Trust structure and is capable of the necessary dynamic decision making. Slim structure minimum number of sub-committees. • a committee with officers to run the business but all major decisions to be referred to the entire membership, this is typical scientific association, it is less dynamic but highly democratic and often reacts slowly to market forces. Constitution • for both types we have introduced an annual ‘member subscription’ to provide start up and cash flow funds - and show commitment (stakeholders) • Subscription structure to generate 30,000 euro per annum 1st years:- • 1,200 euro per annum initially for institutions or individuals representing institutions • reduced levels structure for individuals and SMEs 100 to 500 euro • Benefits for members:- • free use of paysite • logo and link on site • direct referrals from user inquiries SG Meeting Berlin 18.05.04 Phill Giles TTC

Constitution • the ELE form must satisfy 75% of the Consortium membership and the EU • essential to resolve the form of the ELE quickly • both forms could be put to the membership but it is likely that the largely institutional composition of the consortium would return the conservative, familiar scientific society arrangement. • the SG should recommend the structure that will work! • We need to agree now:- • Type of structure • Constitution (do we need MOA and AOA immediately) • How it will be presented to membership? • When? • How do we select manager/editor, directors, officers f or 2005? • Where will office be? Pay Site • Do we need sub-committee to consider how numeric data is handled? - Guenther’s suggestion • When do we need data uploading officer, where and how? - mailng link sites etc • Generate email contact list of potential users during free site time and use this once paysite is up and running to inform contacts. - see promotional plan.
