Risk factors • The first film “Megalith” can be replaced with anotherfor us to produce, as there may be a green light already for financing and distributingit. • Office needs to be set up also in Los Angeles. • The team is highly accomplished but I am just geting there.This is my life’s work, I am dedicated to accomplishing this and have already spent 12 years in the pursuit. • At the development phase business should be conducted in a Limited Partnership framework. • Estonian investors lack previous experiences in this area. • There should be more then one source to finance the development. • There is only one worldwide machinery garanteeing film distribution sucsess, that is Hollywood stodio system, where the main rules are simpel, but must be followed. • There is a limited number of good literary properties that can be used to create a large and great motion picture. There goes a highly competititive contest in obteining these rights. The negotiation with filmdirectors and creative talent is also a complicated process. • There is no way back after the start of production, as completion bond will garantee the delivery of the film to the distributor.

Control • Exsecuitive producer in charge of development, after the 3 film package is fully invested • Bank is in charge of distribution studios • Studio is in charge of production company • Undertaking production co. (us) in controll untill distribution is agreed upon • When distributor is signed a controlling completion bond company can interfere when things get risky for bank (advices and worns).

Set up office in Los Angeles and Tallinn Estonia. • Tie with the major filmindustry by paying a $10 000 USD retainer to attorney, and involve the rest of the team: (UPM), completion bond, production assistent, attorney, publicist and filmindustry pank. This positions us as an acceptable developer having access to major literary-, production-, and acting resources. The team’s experience and relations add security for financing, completing and distributing each film through the world’s leading distributors. • Assure sale: involve team, find and option literary properties, complete presales or other strategy to set up bank financing, corelate contract with studio distribution. Select, negotiate, document with creative talent, develop shooting script, budget, schedule with UPM.
