  13. Local Governance • Constitution & ByLaws (C&BL) approved by Voters in 2012 and approved by the LC-MS on 19 March 2013 • C&BL available on St. Paul’s Website http://www.stpaulsorange.org/

Local Governance (continued) • 13 Member Board of Directors formed in June 2013 (also identified on the St. Paul’s website) • 10 elected by the Voters as BoD voting members • 1 is the Senior Pastor, CEO; a voting member • 2 others are non voting members (School Principal, Sr. Business Manager)

Article 8.2.0 Authorities & Responsibilities (A&R) • BoD – has the overall A&R to receive candidate names and working with the PSD President to establish a vetting process (PCC – 6 members) to create a Call List • BoD in cooperation with the Board of Elders (20 members) prepares a list (minimum of two names) of candidates to be presented at a Call Meeting of the Voters Assembly • Congregation has A&R to submit names for consideration and vote to determine the Call

Status of the Call to Date • BoD Initiated call activity on 15 October 2013 • PCC has the List of Qualifications/Qualities desired in a Senior Pastor, communicates with the PSD President and opened up the period for the congregation to submit candidate names • PSD President met with the PCC at St. Paul’s on 07 January to provide additional names and biographical and evaluation data for all on that list of candidates (28 names) • PCC is vetting the list to present to the BoD: TBD

  20. Meeting Conduct In accordance with Robert’s Rules of Order: • Questions and Comments directed specifically to the Meeting Purpose are In Order • An aisle microphone is provided for those who wish to speak; orderly line up to address the Chair • Two minute time limit per speaker unless extended by the Chair • The meeting will end when, in the opinion of the Chair there has been sufficient participation by attendees or due to lateness of the hour
