  2. Requirements for Singapore Company Registration Shareholding A company must have a minimum of 1 and a maximum of 50 shareholders who can be local or foreign persons. Shareholders can be natural persons or corporate entities Share Capital The minimum paid-up capital to set up a company is S$1. A company can increase its share capital at any time by injection of additional capital. Directors Both Singapore-resident and foreign-resident persons can be directors of a Singapore company. Corporate directors are not permitted. A company must have at least one Singapore-resident director. Singapore-resident is defined as someone who is a Singapore citizen, a Singapore permanent resident or an Employment Pass holder.

  3. Company Secretary A company must appoint a qualified company secretary within 6 months of incorporation. The company secretary must also be a natural person and a resident of Singapore. Registered Address Each company is required to have a local registered address in Singapore where the company will keep all of its statutory documents. The address cannot be a PO box. Step 1: Approval of Company Name • Before you apply for registering the company name, it is essential to get approved the company name by ACRA. • Read the below given guidelines for company name: • The company name should not be identical to an existing business in Singapore • The company name should not contravene on any trademarks • The company name cannot be obscene or vulgar • The name must not have been reserved by another company • If your company name is abide by ACRA’s rules, the approval is usually done in an hour only. • The company name that contains more regulated words including finance, law, or school, the name approval may take a few weeks more. • Once approved, a company name must be incorporated within 120 days from the approval date. If it is not incorporated within this period, the name is released and can be reserved by another person.

Step 2: Preparation of documents for the Company Registration • Once the company name is approved, you must get the following documents ready before applying for the company registration: • Documents required by ACRA: • Company name registered with ACRA • A brief description of business activities • Details of Singapore registered address of the company • Particulars of shareholders • Particulars of directors • Particulars of company secretary • Foreign Entrepreneurs must submit a copy of their passport and residential address proof (overseas) • Foreign Companies must submit Memorandum & Articles of Associations • Singapore Residents must submit a copy of their Singapore identity card
