  6. What Options Are There? • Traditional Post-Award Prime/Sub Arrangements • Pre-Award Teaming Agreements • Joint Ventures • Mentor-Protégé Programs

Traditional Post-Award Prime/Sub Arrangements • Arrangement where the prime contracts with the end customer, and the subcontractor contracts with the prime in support of its contract with the end customer • Characteristics: • No contract between the sub and the end customer • No pre-subcontract obligations • Prime completely liable to end customer, subcontractor liable to prime

Pre-Award Teaming Agreements • Arrangement where a prime and sub agree to pursue certain opportunity and agree to contract with each other to perform such opportunity if awarded to the prime • Characteristics: • Agreement entered into before contract awarded • No contract between the sub and the end customer • Pre-subcontract obligations • Prime completely liable to end customer, subcontractor liable to prime • Note: Not to be confused with a Contractor Team Arrangement

Joint Ventures • Arrangement where at least two parties agree to form an entity to pursue business opportunities • Characteristics: • No subcontractors, parties partner to form new legal entity • Entity formed before receipt of contract • Entities liability subject to JV agreement • Workshare subject to JV agreement

Mentor-Protégé Programs • Arrangements sanctioned by the federal government that allow large businesses to assist certain small businesses with their development • In exchange for assisting in development, large businesses can get a piece of work otherwise set aside for small businesses • Popular, Available Programs: • Other programs: • States programs • Informal mentor-protégé arrangements exist as well
