Partnership Direction • Quickly capture new business opportunities by leveraging the existing Strategic Alliance Partnership between Ascend Software and Hitachi Consulting • Create an integrated Hitachi solution offering utilizing Ascend’s ECM & Business Automation solutions and Microsoft Dynamics AX ERP software • NDA & MSA in place

  8. Proposal • Ascend & Hitachi enter into an exclusive software and services agreement. • Both companies will invest mutually into this venture. Ascend Software will provide their SmartTouch Solution Suite, ECM, and Workflow to Hitachi Consulting. • Hitachi Consulting will provide all Onshore and Offshore resources to integrate the Ascend Software products into Microsoft Dynamics AX ERP solutions. • Ascend will provide additional product training to Hitachi’s Development team if needed.

Proposal (CONT.) • Sales and Marketing to be Hitachi Consulting, Microsoft & Ascend Software • Integration to be provided by Hitachi Consulting • Microsoft Relationship to be managed by Hitachi • Professional Services to be provided by Hitachi Consulting • Help Desk and Maintenance Issues (Bugs, Patches, Errors) Hitachi Consulting • Exclusive Microsoft Dynamics reseller or OEM of Ascend Software to Hitachi Consulting (performance metrics to maintain exclusivity to be determined) • Ascend Software must remain the brand identity.

  10. Revenue Breakdown Hitachi Consulting to be exclusive MSD Reseller of Ascend Software. Hitachi will receive 30% of all license revenue sales. Hitachi Consulting will receive 98% of all service & Integration fees Hitachi Consulting will receive 50% of all annual maintenance fees for clients they provide the support (maintaining a support desk for the new initiative). ----------------------------------------------------------------- Ascend Software will receive 70% of all license revenue sales. Ascend Software will receive 2% of allservice & Integration fees Ascend Software will receive 50% of all annual maintenance fees Note: These numbers are preliminary and subject to change
