  3. Module 1 • Ethical Awareness and Decision Making • A business without ethics is a business at risk. Almost daily, headlines trumpet stories about companies facing multimillion-dollar fines, criminal prosecution, and bankruptcy because they failed to recognize an ethical dilemma. Unfortunately, what is considered correct ethical behavior is sometimes far from obvious. Conflicting interests within companies, time constraints, and pressure from outside forces make ethical behavior difficult for employees to uphold. This course is intended to assist you by exploring what an ethical dilemma is. That way, you'll be able to recognize one when it arises. Module 2 • Resolving Conflicts of Interest • The term "conflict of interest" describes a situation in which an individual faces conflicting or dual loyalties, such as when an employee's self-interest conflicts with his duties to his employer. Conflicts of interest arise in corporate life all the time. However, not all employees recognize them when they occur, and even fewer know how to resolve them. This course explains how to resolve conflicts of interest. It offers a three-step process that can be used to resolve a conflict when one has already arisen. It also explores some of the most common conflicts of interest and suggests ways to avoid or to resolve them. • Catalog ID Number: ETH212_2A

Module 3 • Understanding the Foreign Corrupt Practices Act • Similar to our course entitled, Avoiding FCPA Violations, this course provides an introduction to the Foreign Corrupt Practices Act (FCPA), a law that makes it illegal to bribe a foreign government official or political party to gain a business advantage. Bribery is not limited to cash payments, but can also include things like gifts and offers of employment. The FCPA applies not only to U.S. companies and citizens, but in some circumstances to foreign companies and citizens. The FCPA also has accounting provisions that require companies to keep accurate books and records and not to conceal improper payments. Because the penalties for violating the FCPA can be severe, it's important that all employees involved in international business have a basic understanding of its requirements. Please note that this course discusses "grease" or "facilitation payments" for routine governmental actions, an exception to the normal FCPA prohibitions.
