  5. II. Introductory Concepts 5

  6. Six Elements of a Contract • Offer • Acceptance • Consideration - demonstrated/evidenced by payment • T’s and C’s - Terms and Conditions • Meeting of the Minds • Signature 6

  7. Seven Defenses to a Contract • Indefiniteness - undefined • Mistake • Induced by Fraud, Non-disclosure, Duress and Undue Influence • Unconscionability • Statute of Frauds • Lack of Contractual Capacity • Illegal Contracts 7

  8. Contracts K ELEMENTS DEFENSES 1) Offer Indefiniteness 2) Acceptance Mistake 3) Consideration Fraud, Nondisclosure Undue Influence 4) Meeting of the minds Unconscionable 5) Terms and Conditions Statute of Frauds 6) Bona Fide Signature Lack of Contractual Capacity Illegal Contracts 8

  9. Methods of Agreement • Consent - contracting knowingly, willingly and intentionally. • Assent - contract like you know what you are doing with your actions - agreement by failing to object and then performing on the agreement without thinking about it. • Example: The McDonald’s Hamburger • Did Avraham agree in Bereseeth 17 ? • Could Avraham have declined YHVH’s offer ? 9

  10. Capacity • Capacity - rights gained from contracting or forming an agreement wherein the parties take on a new responsibility and duties and operate within the confines of that agreement. • Example: “I Love Lucy” the Hat episode 10

  11. Types of Agreements • Contract - “agreement between 2 or more parties which creates an obligation to do or not to do a particular thing” Western • Covenant - “promise between 2 or more parties by which either of the parties pledges himself to the other” Hebrew 11

  12. Trust Basic Training • Trustor - aka Settlor, Grantor, Creator • Trustee - Attains Decision authority via Legal title Assignment • Beneficiary - a.k.a. “Cestuis Que Trust” - attains beneficial use via equitable title 12

  13. Trust Basic Training • Contract/Agreement is between - Trustor and Trustee for the benefit of the Beneficiary / Cestuis Que Trust 13

  14. Grantor TrustTrust Basic Training Diagram Contract or k Beneficiary assents to Contract with usage of property 14

  15. Trust Basic Training Diagram • The United States Constitution Trust Agreement of 1789 is a terrible estate planning document but makes an excellent Government agreement because it is a “Grantor Trust” whereby the Trustor is the same as the Beneficiary • If Trustees get out of control the Trust “folds” on itself and Trustors regain control via Beneficiary position 15

  16. Trust Basic Training Diagram • Volume 1 Blackstone Commentaries Chapter 18 states that the Grantor in a Grantor Trust has the right to revoke and revest title at any time • Upon revesting title the Legal and Equitable Titles merge (merger doctrine) and the trust collapses • Then, the Grantor retains both titles 16

  17. Trust Basic Training Diagram Founders and We the People Contract or k Government Trustees/Office Holders Beneficiary assents to Contract with usage of property Founders and We the People 17

  18. Nation Corporation Business End Public Demonstrated by the Government Corporation Control Act The People Private Demonstrated by the “right to life, liberty and the pursuit of happiness (i.e. property)” 18

  22. Edenic Covenant - Beresheeth /Genesis 2:15-18 15 And %&%* Elohim took the man, and put him into Gan-Adan to work it and to guard it. 16 And %&%* Elohim commanded the man, saying, Of every eytz (tree) of the Gan-Adan you may freely eat: 17 But of the eytz of the da’at (knowledge) of tov (good) and evil, you shall not eat of it: for in the day that you eat from it you shall surely die. 18 And %&%* Elohim said, It is not tov that the man should be alone; I will make for him a helper as his counterpart. 22

  23. Noahdic Covenant - Beresheeth /Genesis 6:13-22, 7:1 13 And Elohim said to Noach, The end of all flesh has come before Me; for the earth is filled with violence through them; and, see, I will destroy them with the earth. 14 Make a tavah (ark) of gopher wood; rooms you shall make in the tavah, and shall cover it inside and outside with tar. 15 And this is the design that you shall make it: The length of the tavah shall be three hundred cubits, the width of it fifty cubits, and the height of it thirty cubits. 16 A window shall you make to the tavah, and in a cubit shall you finish it above; and the door of the tavah shall you set in the side of it; with lower, second, and third stories shall you make it. 23

  24. Noahdic Covenant - Beresheeth /Genesis 6:13-22, 7:1 17 And, see, I, even I, do bring a flood of mayim upon the earth, to destroy all flesh, in which is the breath of chayim, from under the shamayim; and everything that is in the earth shall die. 18 But with you I will establish My covenant; and you shall come into the tavah, you, and your sons, and your wife, and your sons' wives with you. 19 And of every living thing of all flesh, two of every sort shall you bring into the tavah, to keep them alive with you; they shall be male and female. 20 Of fowls after their kind, and of cattle after their kind, of every creeping thing of the earth after its kind, two of every sort shall come to you, to keep them alive. 21 And take for you all food that is eaten, and you shall gather it to you; and it shall be for food for you, and for them. 22 So Noach did according to all that Elohim commanded him, so he did. Genesis 7:1 And %&%* said to Noah, Come you and all your bayit into the tavah; for you have I seen tzadik before me in this generation. 24

  25. 28. Avrahamic Covenant (cont’) - Beresheeth / Genesis 17:1-16 10 This is My covenant, that you shall keep, between Me and you and your zera after you; Every man child among you shall enter brit-milah. (Teachers Note: brit = covenant , circumcision - entering an agreement by assent if underage or consent if knowingly) 11 And you shall brit-milah the flesh of your foreskin; and it shall be a token of the covenant between You and Me. 12 And he that is eight days old shall be circumcised among you, every male child in your generations, he that is born in the bayit, or bought with the money of any Ger (stranger), which is not of your zera. 13 He that is born in your bayit, and he that is bought with your money, must enter brit-milah: and My Covenant shall be in your flesh for an everlasting covenant. (perpetuity clause) 14 And the uncircumcised male child whose flesh of his foreskin is not circumcised, that being shall be cut off from his people; he has broken My covenant. 15 And Elohim said unto Avraham, As for Sarai your wife, you shall not call her name Sarai, but Sarah shall be her name. (Capacity shift) 16 And I will bless her, and give you a son also of her: And I will bless her, and she shall be an ima of nations; melechim of peoples shall be from her. 28

  29. Mosaic Covenant - Shemoth/Exodus 20:1-17 20:1 And the word of Elohim spoke all these words, saying, (FIRST) 2 I am %&%* Your Elohim, which have brought you out of the land of Mitzrayim, out of the bayit of bondage. (Note: i.e. BELIEVE) 3 You shall have no other elohim before My face. (SECOND) 4 You shall not make to you any graven image, or any likeness of any thing that is in shamayim above, or that is in the earth beneath, or that is in the mayim (water) under the earth: 5 You shall not bow down yourself to them, nor serve them: for I %&%* Your Elohim am a jealous Elohim, visiting the iniquity of the ahvot (fathers) upon the children to the third and fourth generation of them that hate Me; 6 And showing rachamim (mercy) to thousands of them that love Me, and shomer (keep) My mitzvot (commandments). (THIRD) 7 You shall not bring the name of %&%* Your Elohim to vain emptiness; for %&%* will not hold him guiltless that brings His Name to vain emptiness. 29

  30. Mosaic Covenant - Shemoth/Exodus 20:1-17 (FOURTH) 8 Remember Yom Shabbat, to shomer it as kadosh. 9 Six days shall you labor, and do all your work: 10 But the seventh day is the Shabbat of %&%* Your Elohim: in it you shall not do any work, you, nor your son, nor your daughter, your male eved (servant), nor your female eved, nor your cattle, nor your Ger that is within your gates: 11 For in six days %&%* made the shamayim and earth, the sea, and all that is in them, and rested the seventh day: therefore %&%* blessed the Shabbat day, and set it apart. (FIFTH) 12 Honour your abba and your ima: that your days may be long upon the land which %&%* Your Elohim gives you. 30

  31. Mosaic Covenant - Shemoth/Exodus 20:1-17 (SIXTH) 13 You shall not kill (murder). (SEVENTH) 14 You shall not commit adultery. (EIGTH) 15 You shall not steal. (NINTH) 16 You shall not bear false witness against your neighbor. (TENTH) 17 You shall not covet your neighbor's bayit, you shall not covet your neighbor's wife, or his male eved, or his female eved, or his ox, or his donkey, or any thing that is your neighbor's. 31

  32. Mosaic Covenant - Shemoth/Exodus 31:13-18 13 Speak also to the children of Yisrael, saying, Truly My Shabbats you shall shomer (keep): for it is a sign between Me and you throughout your generations; that you may know that I am %&%* that does set you apart. 14 You shall shomer the Shabbat therefore; for it is kadosh for you: every one that defiles it shall surely be put to death: for whoever does any work therein, that being shall be cut off from among his people. 15 Six days may work be done; but in the seventh is the Shabbat of rest, kadosh to %&%*: whomever does any work in the Shabbat day, he shall surely be put to death. 16 Therefore the children of Yisrael shall shomer the Shabbat, to observe the Shabbat throughout their generations, for an everlasting covenant. 17 It is a sign(-ature) between Me and the children of Yisrael le-olam-va-ed (for ever): for in six days %&%* made the shamayim and the earth, and on the seventh day He rested, and was refreshed. 18 And He gave to Moshe, when He had made an end of communing with him upon Mount Sinai, two tables of testimony, tables of stone, written with the finger of Elohim. 32

  33. Davidic Covenant - Schmuel Bet /2 Samuel 23:1 Now these are the last words of David. David the son of Yishai said, and the man who was raised up on high, the anointed of the Elohim of Yaakov, and the sweet psalmist of Yisrael, said, 2 The Ruach of%&%* spoke by me, and His word was in my tongue. 3 The Elohim of Yisrael said, the Rock of Yisrael spoke to me, He that rules over men must be just, ruling in the fear of Elohim. 4 And he shall be as the light of the morning, when the sun rises, even a morning without clouds; as the tender grass springing out of the earth by clear shining after rain. 5 Although my bayit be not so with El; yet He has made with me an everlasting covenant, ordered in all sure things: for this is all my salvation, and all for my desire; He will not allow others to grow. 33

  34. Davidic Covenant - Melechim Bet / 2 Kings 23:1 And the melech sent, and they gathered to him all the zachanim (elders) of Yahuda and of Yahrushalayim. 2 And the melech went up into the bayit of %&%*, and all the men of Yahudah and all the inhabitants of Yahrushalayim with him, and the kohanim, and the neviim (prophets), and all the people, both small and great: and he read in their ears all the words of the scroll of the covenant which was found in the Bayit of %&%*. 3 And the melech stood by a pillar, and made a covenant before %&%*, to have his halacha in the halachot of %&%*, and to keep His mitzvot (commandments) and His mishpatim (testimonies) and His chukim (statutes)with all His lev (heart) and all Hisbeing, to perform the words of this covenant that were written in this scroll. And all the people agreed to the covenant. %&%* = Trustor melech = Trustee David’s Office the people = Beneficiaries K 34

  35. Renewed Covenant - Yirmeyahu 31 (corresponds to Hebrews) Jeremiah 31 See, the days are coming, says %&%*, that I will make a Brit Chadasha-Renewed Covenant with Beit Israel, and with Beit Yahudah: 32 Not according to the covenant that I made with their ahvot (fathers) in the day that I took them by the hand to bring them out of the land of Mitzrayim; which covenant they broke, although I was a husband to them, says %&%*: 33 But this shall be the covenant that I will make with Beit Yisrael; after those days, says %&%*, I will put My Torah (teaching and instruction) in their inward parts, and write it in their levim (hearts); and will be their Elohim, and they shall be My People-Ami. 34 And they shall teach no more every man his neighbor, and every man his brother, saying, Know %&%*: for they shall all know Me, from the least of them unto the greatest of them, says %&%*: for I will forgive their iniquity, and I will remember their sin no more. 35

  36. Renewed Covenant - Ivrim/ Hebrews Hebrews 8: 8 For finding fault with them, He says, Behold, the days come, says the Master %&%*, when I will make a Renewed Covenantwith Beit Yisrael and with the Beit Yahudah: 9 Not according to the covenant that I made with their ahvot in the day when I took them by the hand to lead them out of the land of Mitzrayim; because they continued not in My covenant, and I regarded them not, says the Master %&%*. 10 For this is the covenant that I will make with Beit Yisrael after those days, says the Master %&%*; I will put My Torah into their mind, and write them in their levim (hearts): and I will be their Elohim, and they shall be My people: 36

  37. Renewed Covenant - Ivrim / Hebrews Hebrews 8: 11 And they shall not teach every man his neighbor and every man his brother, saying, Know the Master %&%*for all shall know Me, from the least to the greatest of them. 12 For I will forgive their unrighteousness and their sins and their Torah-less-ness will I remember no more. 13 In that He says, a Renewed Covenant, He has made the first old. Now that which decays and becomes old is near disappearing. Teachers Note: (law of sin and death is gone) 37
