CAP Governance CommitteeWhat We’re Doing: 1.     Review of the Corporate Organizational Chart under Title 10, 2.     Interaction of the BOG/NB/NEC/CC under Title 10, 3.     Interaction of the EX with the BOG/CC, 4.     Interaction of the NLO with the BOG/CC/NB, 5.     Selection/Removal of at large members of the BOG, 6.     Who can remove the CC and CV, BOG/NB or both, 7.     Selection/Removal of the CC and CV, 8.     Minimum criteria for selection of Mid and Senior level Managers, 9.     Appeal rights of those removed, 10.   Review Release of IG ROIs, 11.   Interaction of MARB/NLO/IG, 12.   Consider changes to Governing documents to implement the above.

  6. Allow Our Committee to Thoughtfully Consider All the Governance Issues and Present a Comprehensive Package to the Board in September CAP Governance Committee We’ll Coordinate Our Efforts with the Constitution & Bylaws Committee and the Public Trust Committee

  7. Move to Postpone All the Governance Agenda Items Until the September NB Meeting to Allow Us to Do Our Work and Provide You With a Package of Recommendations CAP Governance Committee

  8. Taking Up These Items Now Will Be Like Flying VFR into IMC – It’s A Really Bad Idea CAP Governance Committee
