  4. Components/Comparisons • Three MoU/MoAs will examined • I did not secure permission, so all are anonymous • Comparisons can get difficult • Different approaches • Different expectations • Similar issues addressed in particular ways

  5. Components/Comparisons • GigaPOP A - Serving Universities & Federal Projects • GigaPOP B - Primarily Higher Ed • GigaPOP C - Consortia in nature

  6. Uniform Issues • Parties and effect upon signature • POC • Liability - None direct or indirect • Indemnification • Relationship - Independent Contractors • Governing Law - Physical location or where corporation is created • Survival - Certain sections are in effect forever • Entire Agreement

  8. Definitions • Defines what you mean i.e. Clinton like “What do you mean by “is”? • GigaPOP A • Defines peering and transit; defines purpose here ie replaces Recitals • GigaPOP B • Defines Backbone, ISP, Interconnection Point, Internet Network • GigaPOP C • None

  9. Arrangement • GigaPOPs A & B are settlement free • GigaPOP C is settlement free per se but does charge an MRC for a port and an NRC for certain types • FE and 1 Gb no install but MRC • 10 Gb Install and MRC apply

  10. Location • GigaPOP A - Yes • GigaPOP B - No • GigaPOP C - Gives multiple locations

  11. Local Loop • GigaPOPs A & C - Peering Partner is responsible for all costs • GigaPOP C - Will provide cross connect • GigaPOP B - Undefined

  12. Interface Specification • GigaPOP A - ATM or 1 Gb • GigaPOP B - Interconnect speed must be no more than Backbone capacity • GigaPOP C - FE, Gb & 10 Gb

  13. Technical Operations • GigaPOP A - None per se • GigaPOP B- One AS number • Must use Route Registry • Route aggregation • 24 Hour Noc • Maintenance Notification

  14. Technical OperationsGigaPOP C • Mostly in attachment ie MoU legalize • GigaPOP will provide • fiber cross connect • 24 Hour Monitoring • DNS for Participants Ports • Provide IP addresses each VLAN

  15. Technical OperationsGigaPOP C • Partner will provide • No Broadcast other than ARP • One MAC per VLAN • No Spanning Tree BPDU • Inter-site VLAN backup only • No ARP response for unassigned IPs • Non-transit Route • Announced Routes must be in Global Route Registry

  16. Specified Protocols • GigaPOP A - BGP4 • GigaPOP B - IPv4, IPv6, IP/TCP, BGP4 • GigaPOP C - IPv4, IPv6, Multicast, BGP4

  17. SLA • GigaPOP A - Undefined • GigaPOP B - 4 hour repair time • If utilization is 40% or must renegotiate connection speed • GigaPOP C - Must not impact GigaPOP • Reasonable Level • Must Notify for non-emergency reset or termination

  18. Wire Tapping • GigaPOP A - Not allowed • GigaPOP B - Not allowed except for lawful purpose • Must not allow 3rd party • GigaPOP C - Undefined

  19. Statistics • GigaPOP A - undefined • GigaPOP B - May collect and use internally or as required by law • May restrict flows on one’s own customer • GigaPOP C - May collect and use for publicity but must be anonymously

  20. Term • GigaPOP A - End of Fiscal Year • GigaPOP B - One Year • GigaPOP C - FE & Gb 1 year, 10 Gb 2 years • All are automatically renewing unless intention to terminate is in writing; A & B are 30 days notice; C is 60 days notice

  21. Warranty • GigaPOP A - AS-IS • GigaPOP B - Standard • GigaPOP C - Standard + Best Effort

  22. Insurance • GigaPOP A - While on GigaPOP A premises • GigaPOP B - Must access own needs and act accordingly • GigaPOP C - Each party is responsible for self

  23. NDA • GigaPOPs A & B - all information is proprietary and must get written permission to use • GigaPOP C - Can use relationship for publicity and publish URL, Contact info and can be used to promote peering

  24. Other • Non-exclusive - GigaPOP B • Reassignment - GigaPOPs B & C • Invalidity - if law prohibits, all other sections still apply GigaPOPs B & C • Force Majeure - GigaPOP B • No Wavier - per incident - GigaPOP C
