Opening Business • Approval of 2012 Annual Minutes • Board of Directors Change • Gail Yander Kohler nominated as Director to fill expired term of Andy Reinhardt for a term of 3 years • John Gruber nominated as Director to fill expired term of Jim Meagher for a term of 3 years • Peter Principato nominated as Director after completing 1 year remaining term of William Lindner • Thanks to outgoing Directors Jim Meagher and Andy Reinhardt 10/20/2013 Clifton Springs Country Club 3

  4. Amendments to Constitution Update Article IV, Section 2. - Change age ranges for Young Adult membership categories. Update Article IV, Section 8. - Clarify conditions for membership reinstatement Clifton Springs Country Club

  5. Constitution Amendments • Update Article IV – Membership Section 2 The Club shall have the following classifications within each type of membership. Junior - Age 14 through 20 / Non voting Young Adult I – Age 21 through 29 / 1 vote per membership Young Adult II – Age 30 through 39 / 1 vote per membership Regular – Age 40 through 64 / 1 vote per membership Senior – Age 65 or over / 1 vote per membership Senior Limited – Age 65 or over / 1 vote per membership Professional/Business – Business or partnership with up to three designated personnel from the firm / 1 vote per membership Clifton Springs Country Club

  6. Constitution Amendments • Update Section IV – Membership Section 8. Members who have been terminated may reapply for membership as long as any outstanding debts have been paid in full and may be reinstated by a two-thirds (2/3) vote of the Board of Directors. Clifton Springs Country Club

  7. 2013 Accomplishments • Staff + Volunteers worked diligently to provide a quality private golf and dining experience • Remain Committed to “Value Proposition” and to remaining a PRIVATE club with a lower membership level • Maintained Modest Debt Structure - esp. compared to other clubs • Continue to reinvest in capital items needed to maintain our Club • Membership Committee developed and implemented new strategies for recruiting new members • Restaurant Manager developed new procedure to reduce shrinkage and developed a pricing model for outside events • Finalized transition from Beta to fully functional Jonas Club Management Software 10/20/2013 Clifton Springs Country Club 7

CSCC Financial Stability • CSCC Remains Fiscally Prudent with Continued Focus on Cost Control • Current Cash Position (mid October 2013) • $ 35K Checking and Savings • $ 90K Accounts Receivable • $2,549 of Accounts Receivable is 90 days or greater • All Accounts Payables & Vendors are current • Minimal Debt - $65K Line of Credit Balance • $27K of Bank Term Debt • $92K of Bond Holder Debt • 2014 Budget is Break-even • Focus is on Holding Expense to 2013 Levels Where Possible • Dues structure increase of approx. 8% • Reduction in Administration Expense to offset increases to General/Insurance Expense • Increase Capital Fund charge from $15 to $20/month 10/20/2013 Clifton Springs Country Club Clifton Springs Country Club 9

CSCC also host to Hobart and Midlakes Golf Teams • Updated push cart area and added a multi-bag stand for parking lot • Hosted club fitting days with Titleist & Ping • Multiple charity fundraisers supported with green fee passes • Monday Golf Special Success • Hosted 8 outside golf tournaments • First Annual Garnish Memorial Tournament was a huge success for CSCC and local community Clifton Springs Country Club

Pool Director: Sharlane MacIsaac Pool Manager: Jack Hauber • 853 Members & Guest sign in at pool with $512 of guest revenue • Replaced parts as needed for the chlorinator motor • Utilized water line from on-site well – saved money by not purchasing municipal water • Future plans should include painting locker rooms (2014) & bottom of pool (2015) Clifton Springs Country Club
