Introduction • Fund • Quintana Energy Partners II, L.P., is a $345 million fund formed to make control equity investments across the energy value chain • Making middle market investments in the upstream, midstream and downstream energy markets • Diversified across the oil and gas, coal, and power sectors • Global in scope with up to 25% invested outside of North America • Targeting in excess of a 25% gross IRR and 2.0x multiple of equity(1) • Completed six transactions for $114.2 million of invested capital as of September 30, 2010 • GP commitment exceeds 5% of total commitments to the Fund • Quintana Energy Partners, L.P., is a $650 million fund • Team • Quintana has over 75 years of experience as an operating company with a sole focus on the energy industry • Deep operating and technical expertise with 370+ years of combined operational, engineering and investment experience • Nine members of the team are engineers and geologists; seven have worked together for over 23 years • Broad network of relationships with energy and natural resource-related companies and government entities • Pre-existing Quintana entities allow the Fund to leverage proprietary information, providing a substantial competitive advantage relative to other less technologically oriented funds • Track Record • Over 22 years, Quintana has invested $732.6 million of equity in 40 transactions • Realized and partially realized investments have generated a gross 34.5% IRR and a 9.6x return on invested capital (2) • Fund I (2006): $650 million in commitments -- 70% called, 85% committed • Strategy • Acquire and actively manage energy and natural-resource companies and energy-related assets • Focus on investments where the team’s expertise in operating and managing assets can be utilized to maximize value • Strong emphasis on privately negotiated transactions: 34 of 40 investments originated from direct relationships • Flexible, global investment mandate allows QEP to invest opportunistically and react to a dynamic economic environment • Target IRR is based on the Fund’s assumption that investing conditions will not deteriorate. Actual returns may differ. • All realized and partially realized investments to-date are part of the Legacy Portfolio, Quintana’s energy private equity investments prior to the formation of the Fund.

  10. Team Biographies • Corbin J. Robertson, Jr. • Mr. Robertson, Jr. is a Principal of the Fund and serves on the Investment Committee of both Funds I and II. Mr. Robertson, Jr. is also the Managing Partner of Quintana. He is the Chairman and CEO of the general partner of Natural Resource Partners L.P. (NYSE: NRP) and was the Chairman of Quintana Maritime Limited prior to its sale to Excel Maritime Carriers Ltd. (NYSE: EXM) in April 2008. Mr. Robertson, Jr. has served as the CEO and Chairman of the general partner of Western Pocahontas Properties since 1986, of Great Northern Properties since 1992 and as Chairman of the Board of Directors of New Gauley Coal since 1986. He also serves or has served as Chairman of the Board of the All-American Wildcatters Association, the Baylor College of Medicine, the Cullen Trust for Higher Education and the World Health and Golf Association, and on the boards of the American Petroleum Institute, the National Petroleum Council and the Texas Medical Center. Corby was recently inducted into the Texas Business Hall of Fame. Corby attended The University of Texas at Austin, where he earned a B.B.A. from the Business Honors Program. • Donald L. Evans • Secretary Evans is a Principal of the Fund and serves on the Investment Committee of Fund II. Secretary Evans is also a Senior Partner of Quintana. Secretary Evans is the Non-Executive Chairman of the Board of Energy Future Holdings Corp. (“EFH”), an energy holding company, and is an advisor to Energy Capital Partners I, L.P., a private investment fund. Previously, Secretary Evans served as the CEO of the Financial Services Forum between 2005 and 2007 and as the 34th Secretary of the U.S. Department of Commerce. He was a core member of President George W. Bush’s economic team, advising the President on issues including pro-growth and job-creating economic policies, international trade, business concerns and energy policy. Secretary Evans began his career as a roughneck working on oil rigs for Tom Brown, Inc., an independent oil and gas company, in 1975. In 1985, he was appointed CEO of Tom Brown, continuing in that position until his appointment as U.S. Secretary of Commerce in 2001. Tom Brown was purchased by EnCana Corporation for $2.2 billion in 2004. Secretary Evans was appointed to the Board of Regents of The University of Texas System in 1995 and subsequently served two consecutive terms as Chairman of the Board. Secretary Evans attended The University of Texas at Austin, where he earned a B.S. in Mechanical Engineering and an M.B.A. • Warren S. Hawkins • Mr. Hawkins is a Principal of the Fund. He joined Quintana Petroleum Corporation in 1972 and presently serves as a Senior Partner of Quintana. Mr. Hawkins has led numerous oil and gas investments for Quintana Minerals Corporation, both in the United States and internationally, during his 35 year career. Mr. Hawkins has served as a director of American Petroleum Institute Upstream, LSU Petroleum Industry Advisors, Houston InterAmerican Chamber of Commerce, Greystone, Columbia Natural Resources, Pine Mountain, Caledonia, Deep Gulf, Coldren Oil and Gas, Tenergy and numerous Quintana affiliates. Mr. Hawkins is a member of the Society of Petroleum Engineers and the American Petroleum Institute and is a Registered Professional Engineer. Mr. Hawkins attended Louisiana State University, where he earned a B.S. in Petroleum Engineering.

Team Biographies (Continued) • Brock Morris • Mr. Morris is a Principal of the Fund and Managing Director – Exploration and Production of Quintana, where he is responsible for oil and natural gas investments and operations, overseeing reservoir and operations engineering and managing oil and gas investments. Mr. Morris previously served as Operations Manager of Quintana Minerals Corporation. Mr. Morris is a member of the Society of Petroleum Engineers and has over 21 years of U.S. and international exploration and production experience, including 20 years with Quintana. Mr. Morris attended Texas A&M University, where he earned a B.S. in Petroleum Engineering. • Stephen D. Thompson • Mr. Thompson is Managing Director – Oilfield Services of Quintana, where he is responsible for the evaluation and operational aspects of oilfield service investments. Mr. Thompson has over 29 years of U.S. and international oil and gas industry experience. Mr. Thompson previously served as Quintana Minerals Corporation’s General Manager of Santa Cruz I UTE in Argentina. A Registered Professional Engineer and a member of the Society of Petroleum Engineers, Mr. Thompson earned a B.S. in Mechanical Engineering Technology and a B.S. in Petroleum Engineering from Texas Tech University.

Wessels • Mr. Wessels is Managing Director – Engineering of Quintana, where his responsibilities include reservoir engineering and economic evaluations and oversight of the general reservoir management of oil and gas investments. Mr. Wessels has 33 years of diversified engineering experience, including 25 years with Quintana where he has held numerous technical and managerial positions including Reservoir Engineering Manager of the Louisiana Division and Operations Manager of the Rocky Mountain Division of Quintana Minerals Corporation. Mr. Wessels also served five years as Vice President of KUKUI, Inc., an independent exploration and production company that specialized in the production of coal-bed methane. Mr. Wessels is a Registered Professional Engineer and a member of the Society of Petroleum Evaluation Engineers and the Society of Petroleum Engineers. Mr. Wessels attended The University of Texas at Austin, where he earned a B.S and an M.S. in Petroleum Engineering. • W. Ralph Rice • Mr. Rice is Managing Director – Geology and Geophysics of Quintana, where he is responsible for the geological and geophysical review and evaluation of oil and gas acquisitions and investments. Mr. Rice has over 30 years of U.S. and international geoscience experience. He also oversees Quintana’s prospect generation, geologic oversight and seismic processing and interpretation. Mr. Rice is a member of the American Association of Petroleum Geologists. Mr. Rice attended the University of Arkansas, where he earned a B.S. and an M.S. in Geology. • David L. Rohanna • Mr. Rohanna is Managing Director – Mining (Asia) of Quintana, where he is responsible for sourcing, evaluating coal investments in Asia.  Mr. Rohanna has over 35 years in management, operations, engineering, and project management, in the mining, coal preparation, and bulk material handling industries. Prior executive management positions include Managing Director of John T. Boyd Eur- Asian offices, a major mining consultancy, with extensive expertise completing numerous mining projects in Asia and China, President and C.O.O. of the ROAG Group, President and C.E.O. of Phoenix Mining Corporation, Managing Director and Group Executive Director Hillmar Industries.  Mr. Rohanna earned a B.S. in Economics/Geology, University of Pittsburgh/Waynesburg College, M.S. in  Mining Engineering, West Virginia University, and M.B.A:  Finance and Management, University of Pittsburgh. • Benjamin C. Danielson • Mr. Danielson is Vice President – Investments of Quintana, where he is responsible for sourcing, evaluating and executing investments in China, as well as managing and monitoring the activities of Quintana’s portfolio companies. Previously, he was a Vice President with GE Energy Financial Services, where he managed upstream oil and gas investments for GE Capital, and an associate with the GE Capital Structured Finance Group in its global energy division. Prior to GE, Mr. Danielson worked as a consultant for PricewaterhouseCoopers. Mr. Danielson also served as a Field Artillery Officer in the United States Army. Mr. Danielson attended the United States Military Academy, where he earned a B.S. in Mathematical Economics, and The University of Texas at Austin, where he earned an M.B.A.

Dethlefsen • Mr. Dethlefsen is Vice President – Investments of Quintana, where he is responsible for sourcing, evaluating and executing investments in the coal and downstream sector, as well as managing and monitoring the activities of Quintana’s portfolio companies. Previously, he was an associate with the general partner of Natural Resource Partners, conducting corporate finance and valuation activities. Prior to joining Natural Resource Partners, Mr. Dethlefsen was with Goldman, Sachs & Co.’s investment banking division, where he worked with energy, power and consumer products companies. Mr. Dethlefsen attended Rice University, where he earned a B.A. in Economics and Managerial Studies, and The University of Texas at Austin, where he earned an M.B.A. • Stephen H. Dexter • Mr. Dexter is Vice President – Investments of Quintana, where he is responsible for sourcing, evaluating and executing investments in the upstream oil and gas sector, as well as managing and monitoring the activities of Quintana’s portfolio companies. Prior to joining Quintana, Mr. Dexter worked in the business development group of Hunt Oil Company where he evaluated oil and gas acquisition and divestiture opportunities, participated in the development of both the Peru LNG and Yemen LNG projects, and sourced energy-oriented private equity investments on behalf of the Hunt family. Mr. Dexter began his career in the energy investment banking division of CIBC World Markets where he was involved in numerous equity and debt underwritings as well as merger and acquisition advisory assignments. Mr. Dexter attended The University of Texas at Austin, where he earned a B.B.A. in Finance. • Christopher J. Baker • Mr. Baker is Vice President – Investments of Quintana, where he is responsible for sourcing, evaluating and executing investments in the oilfield services sector, as well as managing and monitoring the activities of Quintana’s portfolio companies. Prior to joining Quintana, Mr. Baker served as an associate with Citi’s Corporate and Investment Bank where he conducted corporate finance and valuation activities focused on structuring non-investment grade debt transactions in the energy sector. Prior to Citi, Mr. Baker was Vice President of Operations for Theta II Enterprises, Inc. where he focused on project management of various complex inland marine and subsea pipeline construction projects. Mr. Baker attended Louisiana State University, where he earned a B.S. in Mechanical Engineering, and Rice University, where he earned an M.B.A. • L. Stevens Putman • Mr. Putman is a ManagingDirector and General Counsel of Quintana. Prior to joining Quintana, Mr. Putman served as Vice President, General Counsel & Secretary of Quintana Maritime Limited from August 2005 until its sale in April 2008.   14. Team Biographies (Continued) • Loren J. Soetenga • Mr. Soetenga is a Managing Director and Chief Operating Officer of Quintana and is responsible for Quintana’s investor relations. Prior to joining Quintana, Mr. Soetenga was Director of Ranger Capital Group and Ranger Capital Markets, a $600 million investment manager of hedge funds and traditional investment products. Prior to Ranger, Mr. Soetenga was a Partner of John McStay Investment Counsel, a $6.5 billion investment firm. Before joining John McStay Investment Counsel, Mr. Soetenga was an equity analyst for Chronos Management. Mr. Soetenga attended Texas Christian University, where he earned a B.S. in Economics. • Jimmy A. McDonald • Mr. McDonald is the Director – Finance and Accounting of Quintana, where he is responsible for the accounting and financial oversight of Quintana and its portfolio companies. Mr. McDonald is a Certified Public Accountant with approximately 20 years of diverse experience in finance, accounting and management in the power industry and other energy sectors. Prior to joining Quintana, Mr. McDonald held various management positions with the McNair Group, El Paso Merchant Energy, and Ferrell North America. Smith • Ms. Smith is the Vice President – Finance of Quintana, where she is responsible for the accounting and financial oversight of Quintana’s portfolio companies. Prior to joining Quintana, Ms. Smith held various accounting management and consulting roles in the energy sector including positions with Calpine and Dresser-Rand.
