  2. JOB DESCRIPTIONS • The CEO is appointed by the Board of Directors to manage the company on a day-to-day basis. • The Managing Director has overall responsibility for the running of the Company.

  3. The CEO must provide good leadership and give direction to the Company. • The CEO reports to shareholders and the Board of Directors on an ongoing basis.

  6. COMPANY SECRETARY

  7. Job Discription • The company secretary is the expert on law and procedure within the Minicompany. • Detailed records must be kept of the Minicompanyhistory and the Company Secretary answers directly to the Managing Director.

  8. Skills of the Company Secretary • Ability to co-ordinate, communicate and organise. • A logical and organised approach to keeping books/records • Ability to grasp, summarise and report key points and decisions made at meetings. • Interest in and appreciation of legal matters

  9. Duties of the Company Secretary • Has responsibility for communicating agreed team decisions • Completes registration documents • Keeps the Share Register • Administers Company meetings, draws up agendas, notifies and records minutes.

  10. Enforces Company’s Memorandum and Articles of Association • Keeps safe all Company documents and records

  11. FINANCE MANAGER

  12. Job Description • Responsibility for maintaining all financial records lies with the Finance • Manager. Budgets are created and monitored by staff in this area.

  13. Skills of the Financial Manager • Finance and Resource management • Ability to work with others • Trustworthy with money • Be organised and accurate in presenting reports

  14. Duties of the Financial Manager • Responsible to Managing Director for production of financial plan • Monitors progress and recommends action to ensure results • Agrees pricing and seeks to optimise profit margins • Records all financial transactions • Manages all cash and credit controls

  15. Makes all payments • Completes VAT returns • Prepares profit and loss statements, Balance sheets and liquidation report • Liases with Company Secretary

  16. Controls banking and cash security • Assists with stock valuations.

  17. PRODUCTION MANAGER

  18. Job Description • The Production Manager is responsible for the production output of the Minicompanyproducts. • This includes the initial prototypes of the Minicompany.

  20. Duties of the Production Manager • Contributes to product development • On going search to create a cost effective manufacturing system • Balances production and demand • Advises on estimated costings

  21. Purchases raw materials • Keeps inventories of materials and all goods • Trains, manages and monitors safety of Operations Team • Maintains equipment and tools • Takes responsibility for Quality Control

  22. HUMAN RESOURCE MANAGER

  23. Job Description • This Manager reports directly to the Managing Director and is concerned with human relationships within the Minicompany. • S/he must ensure that good working relationships are maintained within the Minicompany.

Job Description • The Workplace Health and Safety Act 1989 promotes the involvement of workers in the decision making processes associated with health and safety risk management in the workplace. • Under the Health & Safety Act workers may elect a Health and Safety Representative on their own initiative or at their employer's suggestion.

  41. Workplace Health and Safety Officers can be trained to identify health and safety hazards and help implement risk assessments in the workplace.

  43. Duties of the Health and Safety Officer • To ensure that all safety guidelines are followed on a daily basis • within the company. • To report to management any work injuries and illnesses • To report any proposed changes that may affect the health and safety of the workers.

  45. Job Description • The Industrial Relations Officer liases with management and employees and ensures that communication links are kept open at all times.

Duties of the Industrial Relation Officer • Manages employment conditions and related issues. • Aims to encourage employees and employers to work towards the • development of effective organisational practices. • Provides information for all employers and employees. • Mediates between management and the workforce in any industrial disputes, which may arise during the life of the Company.
