P3 Baseline P3 Defined– The National Council for Public-Private Partnerships www.ncppp.org presents the following definition of the P3 … A Public-Private Partnership is a contractual agreement between a public agency (federal, state or local) and a private sector entity. Through this agreement, the skills and assets of each sector (public and private) are shared in delivering a service or facility for the use of the general public. In addition to the sharing of resources, each party shares in the risks and rewards potential in the delivery of the service and/or facility. P3 Evolution P3 Hybrid– The P3 has evolved over the past 10+ years due to rapidly advancing technologies, multi-party and simultaneous collaboration realities and the need for sustainability of the P3 strategy. These market and societal conditions have impacted the traditional P3 architecture, and if not recognized, will compromise the purpose, value and effectiveness of the P3. A hybrid P3 model is emerging that more effectively allows for multi-party and simultaneous collaboration processes to flourish while triggering a more effective financing mechanism. The hybrid P3 can be shaped to meet a specific or integrated purpose based upon a unique set of bylaws, policy and governance templates, as established through an independent not-for-profit enterprise. Program Methodology Hybrid P3 Model Follows a Specific Methodology • PROGRAM BYLAWS are established by “Founding Members” to define P3 Program offering, policies, procedures and guidelines for “Membership.” • Public & Private sector entities “join” the P3 Program through a specific enrollment process that positions each “member entity” into a specific class of participation. • Charter Members – A class of participation reserved for government, education and institutional organizations. • Sponsor Member – A class of member participation reserved for private sector entities that seek the highest level of exposure, collaboration and participation. • Private Partner Member – A class of participation reserved for private sector entities that seek access and utilization of P3 Program attributes. • Community Enterprise Member – A class of membership reserved for “special purpose entities” that may be established to serve a unique P3 type and/or geography • Associate Member – A private sector class of membership reserved for community development and/or consulting enterprises or individuals. Purpose & Requirements To facilitate a revenue bond issuance under an independent not-for-profit enterprise. • The hybrid P3 structure allows for a “membership-based” architecture to be positioned that streamlines the contractual agreements between the public and a private sector entities resulting in accurate and predictable revenue models to be recognized that cements stronger partnerships, facilitates better risk and reward propositions and ultimately secures the confidence from the investment banking community and the “bond buyers.” • The “Founding Member” team is critical to the success of positioning the hybrid P3. A trusted and recognized independent not-for-profit with experience, history and track record with the investment banking community is key. Committed “Charter Member” organizations are required that are able to make a required seed contribution to the defined P3 is equally essential. Geospatial Policy Symposium Presentation
Issues & Outcomes Program Methodology A P3 Model that facilitates an answer to complex policy and governance issues. • Ownership – Resides with the independent not-for-profit entity … until bond financing is paid off … at which time the asset may then move to applicable “Charter” or “Other” designated party … as defined in P3 Program Bylaws … by “Founding Members.” • Governance – Is structured and defined by “Founding Member” teams through Program Bylaws, Policy and Procedure documents and is affected by state and federal laws pertaining to not-for-profit entities and bond industry rules and regulations. • Participation – Is “open access” in nature and is subject to unique membership agreement, process and policies. • Intellectual Property – Is specific to unique applications and the contribution made to each initiative (project) by the parties involved. The “public participant” is the independent not-for-profit entity with all IP being derived from the “baseline” that is established by the “Founding Members” in the P3 Program. Program Offerings A large menu of P3 Programs can be developed, with the following representing the foundational P3 Programs offered today. • Critical Infrastructure P3– In collaboration with “Charter” participants, the Critical Infrastructure P3 Program is a national initiative that looks to lesson the burdens of government in supporting development, build-out and support of a variety of critical infrastructure needs and applications. • Decision Theater P3– In collaboration with “Charter” participants, the Decision Theater P3 Program is a national initiative that looks to establish a network of facilities that are established to better serve and support health, education, policy and governance decision making through a 3D visualization laboratory and center.
