  14. Organizational Excellence Current Structure • Executive Committee (EC) – 9 • Board of Directors –  21 seats, incl. EC, 16 current members, several seats vacant • Industry Advisors – 5 current, no limit Problem Statement The Executive Committee is in charge of strategic direction, high-level decision making and financial oversight and meets at a regular cadence. The ‘other’ members of the Board of Directors are not involved at a regular cadence. They are not leveraged as active board members, but they are legally accountable for overseeing the organization’s direction and financial health. Neither role is well defined.

Organizational Excellence Proposal • Reduce the Board of Directors to nine members • Simplifies accountability • President, Treasurer, Secretary, Compensation, plus one for each of the five pillars • Effective group size • Move all non-executive members of the Board of Directors to a Board of Advisors • Non-voting roles • Define roles and responsibilities for EC and Advisors • Open questions • Rotation • Voting • Legal counsel • Insurance

Building Language Capacity Health Translator’s Training program – The Center • Operational since Summer 2012 • Training plus Translation • Training: • 100 persons followed short course (4 days) • 20 followed advanced course (6 weeks) • Translation: • Team of 12 translators with (to date) 8 months hands-on experience • Capacity: 100-140,000 words/month; easily scalable to 200K words
