Gartner Service Definition —Executive Programs Member Basic (EPMEMBASIC) Service Description • The Gartner for IT Executives CIO service is designed or the most senior technology executive in the organisation, typically the CIO • The service provides the client with an ongoing advisory relationship with Gartner • The service is provided to one licensed user for a period of twelve months • The Cloud offerings from Gartner are built on the expertise of our 950 research analysts and 500 consultants; the world’s largest repository of knowledge on the business of IT. 117 analysts have expertise in the field of cloud with our database of IT research containing 5,794 research reports providing specific guidance on best practices for cloud deployment and strategy • Gartner covers all aspects of cloud including crucial topics such as Infrastructure as a Service (IaaS), Platform as a Service (PaaS), Software as a Service (SaaS), cloud sourcing, cloud security, cloud strategy, cloud governance and IT cost optimisation through cloud Price • Gartner will bill a firm fixed price of £33,400 excl. VAT, incl. all expenses for this service • The service is provided to one licensed user for a period of twelve months Key Deliverables • Assigned Service Delivery Team • Value Reviews • Access to Analysts • One Symposium/ITExpo Ticket • Executive Program Events • Peer Networking • Gartner for IT Leaders Research and Related Content • IT Key Metrics Data • Executive Programs Research and Related Content • Talking Technology Series Key Benefits • Personalised service delivery to the Member by an Executive Partner (including many former CIOs or equivalents) and Executive Client Manager who develop an individualised program to deliver value to the member and their organisation • Unique insight into the CIO role based on Executive Programs’ more than 15 years of meeting CIOs’ needs in the marketplace. This insight is delivered through CIO experts, role-relevant CIO research and a rich, CIO-specific online experience

Gartner Service Definition —Executive Programs Member Basic (EPMEMBASIC) Full List of Deliverables • Assigned Service Delivery Team — An Executive Programs CIO expert, who works with CIOs every day, and an Executive Client Manager will serve as the Member’s primary point of contacts. The Executive Programs CIO expert will facilitate the identification and leverage of targeted Gartner offerings to meet Member initiatives and priorities in the Member’s context • The Member may interact on a monthly basis with the CIO expert and Gartner to ensure ongoing engagement and delivery of value. Interactions may include: analyst interactions, local events, Symposium attendance, peer networking interactions, or CIO expert teleconferences or meetings of the Service Delivery Team to include the review and application of Executive Programs Research, the annual Executive Programs CIO Agenda, or other relevant content • Value Reviews — The Executive Partner will periodically conduct Value Reviews with the Member against the Member Agenda. • Access to Analysts — Analyst Inquiry — Provides access to Gartner Analysts associated with this Service. Participation is limited to the Gartner Analyst and the Member. Inquiry topic may be any area of Gartner-covered Research so long as the purpose is to advance the Member Agenda. Prioritized Analyst Scheduling — The Member is entitled to prioritized scheduling for Analyst Inquiry and 1-on-1 sessions at Symposium/ITxpo • Events — Attendance at Symposium/ITxpo — One (1) complimentary, nontransferable invitation to attend Gartner Symposium/ITxpo, including standard Symposium entitlements plus Executive Programs VIP access. Executive Programs Events — Complimentary, nontransferable invitation to attend local contentbased Gartner Executive Programs Events, including regional CIO Leadership Forums, where available

Online Forums — Access to virtual discussions of common issues among peers on gartner.com, including a private forum exclusive for Executive Programs Members and Leaders. Offline Meet-ups — Access to designated program lounges at Symposium Facilitated Networking — Executive Partner will, upon request, arrange meetings or conference calls with peers around a specific topic to discuss best practices or areas of expertise • Gartner for IT Leaders Research and Related Content — Includes Gartner Core IT and Rolespecific Research; diagnostic tools, templates, and case studies; Weekly Picks and News Analysis; and webinars featuring Gartner Analysts • IT Key Metrics Data — Provides performance metrics on trends in IT spending and staffing, unit costs, and performance measures across critical IT domains • Executive Programs Research and Related Content — Research Reports — Up to 12 (twelve) Reports per year, covering Gartner-selected topics on areas where business and IT intersect (Schedules are approximations and are dependent on the publication schedule of relevant Research). Includes associated tools and teleconferences hosted by Executive Programs Research Report authors to discuss topics of their Research Reports. Business Research and Related Content — Targeted to CIOs, CFOs, and other business executives • Talking Technology Series — Analyst commentaries on the latest IT topics in a monthly audio program that can be accessed via gartner.com or downloaded to an MP3 device

Gartner Service Definition —Executive Programs Member Basic (EPMEMBASIC) Information Assurance • Gartner possesses analysts and consultants with various security clearances, or we will, within reason, acquire those clearances as the client demands • Gartner associates are bound by very specific rules around client confidentiality and security given that our clients reveal to us their greatest challenges and difficulties in order that we can help and support them most effectively Data Restoration • No client data is retained by Gartner as part of the client’s access to this service and therefore there is no data restoration process related to this service Backup Restore and Disaster Recovery • The Gartner service under discussion does not require Gartner to manage or store any critical client data Service Migration • There is no need for a Service Migration plan given the nature of the service under discussion

Gartner Service Definition —Executive Programs Member Basic (EPMEMBASIC) Onboarding • Gartner’s Executive Client Partner team will onboard new licensed users to Gartner’s services and will provide a Web tour, tips on how to find research and how to request reports, data cuts or inquiry with analyst Offboarding • Gartner does not offer offboarding services, however, named licence holders can be changed during the period of the contract through licensemanagement@gartner.com

  8. Gartner Service Definition —Executive Programs Member Basic (EPMEMBASIC) Pricing • Gartner will bill a firm fixed price of £33,400 excl. VAT, incl. all expenses for this service Financial Recompense Model • If a Service does not meet the specifications set out in the applicable Service Description, the breach will be handled in accordance with the Liability and Termination terms set out in the Call-Off Agreement Ordering and Invoicing Process • Gartner will bill for 100% of the fees at contract signing • All invoices are payable net 30 days from date of invoice • This service is subject to, and governed by, the Gartner Events: Online Registration Terms & Conditions section and the Usage Guidelines for Gartner Services of the Gartner Terms & Conditions document accompanying this service Termination Terms (by Consumer/by the Supplier) • Services may be terminated only for material breach by either party, upon 30 days prior written notice, if the breach is not cured within the notice period

Gartner Service Definition —Executive Programs Member Basic (EPMEMBASIC) Service Management • An Executive Partner with past experience in senior technology executive roles and an Executive Client Manager will serve as the Member’s primary points of contact. They will help define and develop individualized strategies based on their priorities and initiatives (“Member Agenda”). The Member may interact on a monthly basis with the Executive Partner and Gartner to ensure ongoing engagement and delivery of value. Interactions may include: Strategy Meetings, analyst interactions, local events, Symposium attendance, peer networking interactions, or Executive Partner teleconferences or meetings • This service is supported (by telephone and online services) by an Executive Client Partner. The Executive Client Partner is the primary point of contact accountable for the proactive and reactive needs of our clients in relationship to their existing services Service Constraints • This is not applicable to this service Service Levels • This is not applicable to this service

Gartner Service Definition —Executive Programs Member Basic (EPMEMBASIC) Consumer Responsibilities • This service is subject to, and governed by, the Gartner Events: Online Registration Terms & Conditions section and the Usage Guidelines for Gartner Services of the Gartner Terms & Conditions document accompanying this service Training • Training is not included, however, the ‘Onboarding Service’ will provide the user with the skills and knowledge to effectively use the service Technical Requirements • Gartner.com allows 24/7 access to our research and supports all revisions of Internet Explorer (plus Google Chrome, Firefox and Safari) — any browser that supports HTML5 — with no client installations required • Each Gartner report is presented in a printer-friendly Microsoft product format (e.g. Portable Document Format or Excel) Trial Service • Gartner does not offer a trial service option in relation to this service
