History - Highlights • 2005: • Feasibility Study • 2006: • MTC Design & Construction grant • 2007: • Local by-law changes to allow wind turbines in areas zoned light industrial • USDA 9006 grant awarded • 2008: • All permits / approvals acquired • Green Communities Act – Allows for net metering • RFP issued • FAA approval rescinded • 2009: • Interconnection application submitted • Pre-Bid Meeting

  5. Ownership Structure • Notus Clean Energy, LLC will own the turbine • Float Realty Trust owns the land & building • The turbine will be interconnected behind-the-meter at 82/100 Technology Park Drive • Currently leased to Teledyne Webb Research

  6. Goals & Preferences • Largest turbine feasible • Maximize output (renewable energy is good) • Economies of scale • Behind-the-meter • Net metering now allows for near retail rates

Structure of Proposal • 1) EPC services • 2) O&M services • Strongly prefers bundled proposal, but will accept separate EPC and O&M proposals • Additionally, D&B alternative using the Vestas V82 • “Under the D&B Alternative, Notus would enter into a WTG purchase agreement with the MTC and immediately assign its rights and obligations under that agreement to the successful Bidder.” • All the above except potential procurement of the V82 from the MTC on a turnkey basis

  8. Basis of Award • Competitive negotiation • “Negotiations are normally conducted with more than one of the Bidders. Discussions and bargaining are conducted with a view to reaching agreement on the technical quality, price, other terms of the proposed contract and specifications.” • Criteria for award is defined in 2.2 • Experience is implicit items (c) O&M contractor and (d) Project Completion Date

EPC Scope of Services Highlights • Procure / supply 0.9 to 1.65 MW wind turbine • Take over design • Electrical interconnection work with Richard Gross • Acquire local building permit and roadway permits • Transport, site prep, site security during construction, install, SCADA • Start-up, testing & commissioning of turbine and SCADA system • Acceptance Test (proposed by contractor) • Optional elevator

  10. EPC Scope of Services Highlights (2) • Warranty 5 years • Optional additional 5 years • Availability or Power Output Guarantee • Liquidated damages • Substantial completion by a specified date requirements

  11. D&B Alternative • EPC Obligations less • Turbine procurement • Turbine transport to site, including permits

EPC / D&B Pricing / Payment / Contract • Pricing • Lump sum not-to-exceed • Open book basis • % of profit to Bidder • Not-to-exceed cap • Payment • Based upon achievement milestones • 15% reserved until Final Acceptance • USDA requires use of EJCDC contract documents • USDA has provided $300,000 grant

Pending Permits / Approvals • Permits / Approvals Notus is working on: • FAA • NSTAR interconnection for a V82 • Assume if this is approved NSTAR will approve smaller turbines • Notus pays NSTAR Interconnection costs • Contractor is required to acquire • Building permit • Roadway permit (not if V82 D&B) • NSTAR Interconnection, if not a V82
