Gartner Service Definition — • CFO Membership (EXPCFO) Key Benefits • Up to two (2) times per year, the Executive Partner will meet face to face with CFO Member to: • review and apply Executive Programs Research or other relevant content • provide advice on issues of relevance to CFO Member • develop, discuss progress of, and where necessary, modify the CFO Member Value Plan Service Description • The Gartner Executive Programs CFO Membership is for senior-level finance executives in organisations that subscribe to Gartner for IT Executives CIO or Gartner for IT Executives CIO Signature. The service provides an ongoing advisory relationship especially for CFOs. • The service is focused on supporting cloud and digital strategies. • The Cloud offerings from Gartner are built on the expertise of our 890 research analysts and 500 consultants; the world’s largest repository of knowledge on the business of IT. 117 analysts have expertise in the field of cloud with our database of IT research containing 1,400 research reports providing specific guidance on best practice for cloud deployment and strategy. Gartner covers all aspects of cloud including crucial topics such as Infrastructure as a Service (IaaS), Platform as a Service (PaaS), Software as a Service (SaaS), cloud sourcing, cloud security, cloud strategy, cloud governance and IT cost optimisation through cloud. Price • Gartner will bill a firm fixed price of £13,500 excl. VAT, incl. all expenses for this service. • The service is provided to one licensed user for a period of twelve months Key Deliverables • Executive Programs Research Reports • Gartner for IT Executives Content and Research • Teleconferences hosted by Research Report Authors • Access to Gartner Research for CFOs • Access to Gartner for IT Leaders Research • Strategy Meetings • One Symposium/ITExpo Ticket

Gartner Service Definition — • CFO Membership (EXPCFO) • Full List of Deliverables • The Gartner Executive Programs CFO Membership (the “Service”) entitles clients to an advisory relationship with Gartner and assistance in crafting answers to questions where standard industry practices have not been defined. The Service is intended for senior-level finance executives in client organisations that have a Gartner for IT Executives CIO or Gartner for IT Executives CIO Signature membership. Client may designate one (1) Licensed User, referred to herein as the “CFO Member,” to receive the following Deliverables: • Executive Programs Research Reports ─ Up to twelve (12) Reports covering topics selected by Gartner on areas where business and IT intersect • Teleconferences ─ Up to twelve (12) teleconferences hosted by Executive Programs Research Report authors to discuss the topic of their Research Report • Access to select Gartner content developed for CFOs and business executives, including contextualised research reports, podcasts, presentations and videocasts • Access to content from Gartner Core IT Research, Gartner for IT Executives and Gartner for IT Leaders • Talking Technologies Series ─ Commentaries on the latest IT topics in a monthly audio programme accessible via gartner.com or downloaded in MP3 format • Assigned Service Delivery Team (Delivery Team) for each CFO Member. The Delivery Team, consisting of an Executive Partner and an Executive Client Manager, will serve as the primary point of contact and develop a plan (the “Value Plan”) to highlight value sought, identify key issues on which to focus, and determine how best to deliver that value. Progress against the Value Plan will be reviewed during the contract term as follows: • Strategy Meetings ─ Up to two (2) times per year, the Executive Partner will meet face to face with the CFO Member to: (i) review and apply Executive Programs Research or other relevant content; (ii) draw on the Executive Partner’s professional experience to advise the CFO Member; and (iii) develop, discuss the progress of or evaluate the Value Plan.

Gartner Service Definition — • CFO Membership (EXPCFO) • Contextualised Targeted Gartner Research ─ On an as-needed basis, the Executive Client Manager will email to CFO Member selected Research that has been conformed to the CFO Member’s Value Plan • Analyst Inquiry ─ Provides the CFO Member with access to Gartner Analysts who are associated with the Service purchased by Client. Participation in Analyst Inquiry is limited to the Gartner Analyst, the CFO Member, and members of the CFO Member’s team (as reasonably required by their business purpose). CFO Member must be present on the call and the purpose of the call must be to advance the CFO Member’s agenda. Participation in Analyst Inquiry as part of this Service is subject to the terms set forth in the Usage Guidelines for Gartner Services posted on gartner.com • Executive Programs CIO Research Inquiries ─ Inquiry access to Gartner Executive Programs CIO Researchers through IT Executives Analyst Inquiry • Symposium/ITxpo® ─ One (1) complimentary, non-transferable invitation for attendance to Gartner Symposium/ITxpo, including all standard Symposium attendee rights plus Executive Programs VIP access • Exclusive Executive Programs Events ─ One (1) complimentary non-transferable invitation for attendance, by the CFO Member only, to local content-based Gartner Events in CFO Member’s region or country • Facilitated Networking ─ CFO Member may request meetings or conference calls with peers around a specific topic/issue to discuss best practices or areas of expertise • Online Networking ─ Access to Gartner Peer Connect • Additional Terms & Conditions • The CFO Member may, on an occasional and infrequent basis, forward to specific individuals within the Client organization copies of individual research documents, not to exceed 25 (twenty-five) separate documents per contract year.. This forwarding of documents may not be done on a routine basis, or by means of posting on Client’s corporate intranet, or in any other manner that has the intent or effect of avoiding the purchase of additional User licenses from Gartner. • Please note: This is a limited availability offering and may not be available upon renewal.

Gartner Service Definition —CFO Membership (EXPCFO) Information Assurance • Gartner possesses analysts and consultants with various security clearances, or we will, within reason, acquire those clearances as the client demands • Gartner associates are bound by very specific rules around client confidentiality and security given that our clients reveal to us their greatest challenges and difficulties in order that we can help and support them most effectively Backup Restore and Disaster Recovery • The Gartner service under discussion does not require Gartner to manage or store any critical client data Data Restoration • No client data is retained by Gartner as part of the client’s access to this service and therefore there is no data restoration process related to this service Service Migration • There is no need for a Service Migration plan given the nature of the service under discussion

Gartner Service Definition —CFO Membership (EXPCFO) Onboarding • Gartner’s Executive Client Partner team will onboard new licensed users to Gartner’s services and will provide a web tour, tips on how to find research and how to request reports, data cuts or inquiry with analyst Offboarding • Gartner does not offer offboarding services, however, named licence holders can be changed during the period of the contract through licencemanagement@Gartner.com

  8. Gartner Service Definition —CFO Membership (EXPCFO) Pricing • Gartner will bill a firm fixed price of £13,500 excl. VAT, incl. all expenses for this service Ordering and Invoicing Process • Gartner will bill for 100% of the fees at contract signing • All invoices are payable net 30 days from date of invoice • This service is subject to, and governed by, the Gartner Events: Online Registration Terms & Conditions section and the Usage Guidelines for Gartner Services of the Gartner Terms & Conditions document accompanying this service. Financial Recompense Model • In the event that a Service does not meet the specifications set out in the applicable Service Description, the breach will be handled in accordance with the Liability and Termination terms set out in the Call-Off Agreement Termination Terms (by Consumer / by the Supplier) • Services may be terminated only for material breach by either party, upon 30 days prior written notice, if the breach is not cured within the notice period

Gartner Service Definition —CFO Membership (EXPCFO) Service Constraints • The Gartner Executive Programs CFO Membership is for senior-level finance executives in organisations that subscribe to Gartner for IT Executives CIO or Gartner for IT Executives CIO Signature. The service provides an ongoing advisory relationship especially for CFOs Service Management • A service delivery team (“Delivery Team”), consisting of an Executive Partner and an Executive Client Manager, will be assigned to the Member and will serve as the Member’s primary points of contact for all Gartner resources available under this Service. The Delivery Team will work with the Member to develop a plan (the “Member Value Plan”), which will highlight value sought; identify key issues on which delivery of the Member’s Service may focus; and outline how the Service can effectively deliver that value. Progress against the Member Value Plan will be reviewed during the contract year • This service is supported (by telephone and online services) by an Executive Client Partner. The Executive Client Partner is the primary point of contact accountable for the proactive and reactive needs of our clients in relationship to their existing services Service Levels • This is not applicable to this service.

Gartner Service Definition —CFO Membership (EXPCFO) Training • Training is not included, however, the ‘Onboarding Service’ will provide the user with the skills and knowledge to effectively use the service Trial Service • Gartner does not offer a trial service option in relation to this service Consumer Responsibilities • This service is subject to, and governed by, the Gartner Events: Online Registration Terms & Conditions section and the Usage Guidelines for Gartner Services of the Gartner Terms & Conditions document accompanying this service. Technical Requirements • Gartner.com allows 24/7/365 access to our research and supports all revisions of Internet Explorer (plus Google Chrome, Firefox and Safari) – any browser that supports HTML5 – with no client installations required • Each Gartner report is presented in a printer-friendly Microsoft product format (e.g., .pdf or .xls)
