  9. Lobbying on behalf of the Industry • The “voice” of the industry in the UK and overseas • Requests for views on a number of topics affecting our industry

  10. Working with others • BSi TC136 Working Group 8 • Swimming Forum • TC 402 • EUSA • Business supporters, such as Wright Hassall LLP

  11. EUSA Presidency • This honour is coming in 2012 for a two year period

  12. Financial review • Deficit of £1,838 before tax • Reserves are still sound at £277,554

  13. Memorandum and Articles of Association • Existing version is ten years old and needs updating • Various text revisions have been proposed • Copies have been available in the members areas of the BISHTA and SPATA websites

  14. Memorandum and Articles of Association 1. BSPF members and voting rights 2. Access to the assets 3. Board members are mainly drawn from the constituent organisations 4. Period of office 5. Administration

  15. Memorandum and Articles of Association 1. BSPF members and voting rights • The same company in Full membership of both SPATA and BISHTA is entitled to 2 votes on BSPF matters (not 1) • Like-Minded Organisations needs to be included as members, but currently without voting rights, although they may be invited to sit on the Board • The geographical boundaries are advised as Britain and Ireland (including Channel Islands and the Isle of Man) with other locations then being considered overseas

  16. Memorandum and Articles of Association 2. Access to the assets As the current rules do not permit the distribution of any of the assets to the members, then only in the event of some kind of liquidation, or striking off, would the BSPF have to consider distributing any remaining assets. The beneficiaries of this limited amount of money would be directed to the Full Members of SPATA and BISHTA.

  17. Memorandum and Articles of Association 3. Board members are mainly drawn from the constituent organisations • The number of representatives from each constituent organisation has been clarified • There is an anomaly with partners and corporations being permitted to be Board members in one section and barred from being Board members in another section and it is therefore proposed to remedy this anomaly

  18. Memorandum and Articles of Association 3. Continued.. • There may be a need to amend the Memorandum as it is not accurate with how the Board is actually made up (e.g. STA are valued Board members) and they are proposed to be classified as Like-Minded Organisations • Any future Like-Minded Organisations that may join the BSPF may be invited to sit on the Board (currently without voting rights)

  19. Memorandum and Articles of Association 4. Period of office The suggestion is to increase the amount of time before a former President can stand for re-election, once they cease to be President, from 2 years to a period of 5 years (to encourage more members to stand for election)

  20. Memorandum and Articles of Association 5. Administration • The Memorandum is to be tied in with the BSPF Board Code of Conduct • Terminology for the General Secretary has been amended to Managing Director • The current Memorandum does not technically permit payment of a Managing Director and so this has been amended!

  21. Memorandum and Articles of Association Timescales This proposal needs a positive vote for it to be adopted and is included in the formal part of the AGM, to follow shortly
