Quorum – District Administrative Bylaws Article X (c) • One-third of the club presidents and vice presidents education from member clubs in the district, or proxies as authorized by subparagraph (d) hereof, shall constitute a quorum for all district council meetings. • In the event that any business is transacted at any district council meeting at which a quorum is not present, the action shall be deemed as valid as if a quorum were present if it thereafter is expressly approved in writing, personally, by mail, fax, e-mail, electronic transmission or other reasonable means, by the affirmative vote of a majority of the member clubs in the district on the basis of two (2) votes per club.

Voting Report • 267 survey entries • 16 “spoiled” ballots – voter not a CPRES/VPE or not eligible to vote • 251 eligible survey entries, totaling 261 votes • District Officers who were also Club President or VPE counted for multiple votes • 220 Club Votes • 31 District Leader Votes • 10 Club + District Leader Entries = 20 votes • The most important votes were CLUB votes!

  15. Followup • As we do not yet have sufficient votes to meet quorum, the motions cannot be considered passed (yet) • Need more clubs to vote before quorum can be reached • Clubs that have not yet voted will be contacted to register a vote.

  16. Lessons Learned? • Committee should have been created to monitor the voting and tally results in timely manner • Follow-up with Division and Area Governors regarding Club Participation in voting could have been improved • Participation in District Council could have been reinforced during Club Officer Training, particularly for CPRES and CVPE
