Mark DeSimone: Mark joined the game industry in 1993 as partner and sole developer in Rainbow Studios and grew the company from a small team to 120 staff comprising 4 game development teams. Mark led the team in both production and technology development. Rainbow produced many titles for PC, PS2/Xbox including the Motocross Madness series for Microsoft, the ATV Offroad Fury series for Sony and many other titles for Atari, Activision, Lucas Arts and Electronic Arts. In 2005 Mark was one of the initial founders of 2XL Games and set up and remotely managed a captive outsource facility in Shenzhen and Singapore comprising about 100 staff. Mark exited Rainbow Studios through a trade sale to THQ in 2001 in a transaction valued at over $45mm. Graeme Warring: Graeme founded a game studio based in Manila in 2007 and has since been active in the entertainment space developing mobile games for the likes of Warner Bros, Time Warner and Outblaze Studios. He oversees the business operations and business development of the company including licensing, parter relationships, live operations and the licensor relationship with Dorna Sports. Prior to his involvement in gaming Graeme built an international travel company operating 28 hotels, (Base backpackers) and the Experience Group which operated 170 coaches throughout Australia, Fiji, New Zealand, Brazil and Europe.   3. Structure The MotoGP Championship Quest app was produced and is managed by WePlay Media Holdings LLC through its 100% wholly owned subsidiary which holds the license, XXL Racing LLC. WePlay Media owns the art, code, designs and all other property which combines to produce the game. To fund the initial development, which cost well in excess of $2 million, WePlay Media raised capital from strategic investors by way of a first round common share subscription and later convertible notes. Rather than selling shares in the company WePlay Media or XXL Racing, the rights to the revenue stream from the app were assigned to a company MotoGP Mobile LLC. MotoGP Mobile is the beneficial owner of the revenue so long as the app produces revenue. The cap table of MotoGP Mobile includes WePlay Media Holdings as 50% owner and investors including; Cal Crutchlow : former LCR Honda MotoGP lead pilot and current Yamaha MotoGP Test rider (currently assigned to Petronas Yamaha as a replacement for Franco Morbidelli) Bob Moore : Senior Vice President of Wasserman Media’s MotoGP practice area. Bob is a former MXGP World Champion and currently manages riders including Brad Binder (Red Bull KTM Factory Racing) and Darryn Binder (Petronas Sprinta Racing Moto3). Additionally he manages riders in the Moto2 and Moto3 classes along with riders in the WSBK series Jimmy Button : Senior Vice President Motorsports, Wasserman Media. Jimmy is a former Supercross champion racer and oversees the entire motorsports practice area within Wasserman Media. Will Davison : Will drives a Ford Mustang GT for Dick Johnson Racing in the Repco Supercars Championship in 2021. Davison is a two- time winner of the Bathurst 1000, in 2009 and 2016. Mark Cavendish : Mark is widely known as the greatest cycle racing sprinter of all time. In 2021 he won a further 4 stages of the Tour de France equaling the record set by Eddy Merckx of 34 stage wins in the iconic race. Other investors in the company include: Timothy Fisher : former Chief Investment Officer of the Hillman Company of Pittsburgh. Henry Hillman : Member of the Hillman Company board and family office Earl Jarred : Founder of Rainbow Studios (sold to THQ 2001). Rainbow produced many racing game titles for all the major publishers. Earl also developed Rainbows animation division producing among other projects four episodes of the animated TV show Starship Troopers and the Movie ‘Ark’ in collaboration with Digital Dream Studios in Korea.

WePlay Media produces the games it makes and arranges for the financing, production, development and release using a range of independent contractors and outsourcing firms. Ads are shown at the end of a race where the sponsorship payment in virtual currency, is delivered if the ad is watched to completion.
